MeriT, Axia Power Holdings B.V., Tohoku
Power Investment Company B.V., dan INPEX,
untuk rencana jual beli saham di SERD
dengan total nilai keseluruhan sebesar US$
80.691.700 atau setara dengan
Rp1.266.859.690 (“Perjanjian Jual Beli”).
Nilai keseluruhan atas transaksi tersebut dapat
berubah pada saat penyelesaian transaksi
dikarenakan adanya penyesuaian atas posisi
laporan keuangan saat penutupan transaksi.
Penyelesaian jual beli saham oleh EPN tunduk
pada terpenuhinya syarat-syarat pendahuluan
sebagaimana diatur dalam Perjanjian Jual Beli
termasuk persetujuan dari pemegang saham
SERD
Setelah penandatanganan Perjanjian Jual
Beli, para pihak akan menggunakan usaha
yang wajar untuk melakukan pemenuhan
syarat-syarat pendahuluan sebelum tanggal
akhir penyelesaian yang disepakati para pihak.
Tujuan dari penandatanganan Perjanjian Jual
Beli ini adalah untuk kelanjutan diversifikasi
usaha Perseroan sebagai bagian dari strategi
pertumbuhan berkesinambungan di bidang
pembangkitan tenaga Listrik yang
menggunakan sumber energi terbarukan
khususnya panas bumi.
The Company hereby informs that on date 1
March 2024, EPN has signed a Sale and
Purchase Agreement with MeriT, Axia Power
Holdings B.V., Tohoku Power Investment
Company B.V., and INPEX, forthe plan of sale
and purchase of shares in SERD for a total
value of US$ 80,691,700 or egual to
Rp1,266,859,690 (“Sale and Purchase
Agreement”). The total value of the
transaction may change at the completion of
the-transaction-dwe-to-adjustment: Fi jaf
position positions at the closing date.
Completion of the sale and purchase of shares
by EPN is subject to the fulfilment of the
conditions precedent as stipulated in the Sale
and Purchase Agreement including approval
from SERD shareholders.

(@ UNITED TRACTORS member of ASTRA After signing of the Sale and Purchase Agreement, the parties will use reasonable efforts to fulfil the condition precedents before the closing date agreed by the Parties. The purpose of signing this Sale and Purchase Agreement is to continue the Company's business diversification as part of a sustainable growth strategy in the field of electricity generation that uses renewable energy, especially geothermal. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik / Impact of event, material information, or facts towards the operational activities, legal, financial condition, or business continuity of the Issuer or Public Company Penandatanganan Perjanjian Jual Beli di atas tidak berdampak secara material terhadap kegiatan operasional, hukum dan kondisi keuangan Perseroan saat ini. The execution of Sale and Purchase Agreement above does not have a material impact on the current operational activities, legal and financial affairs of the Company.
