yang diselenggarakan pada tanggal 1 Maret 2024
Nomor 15 yang dibuat dihadapan Notaris
Hannywati Sarjana Hukum, Notaris di Jakarta. PT
Eguity Life Indonesia (ELI) Entitas Anak Perseroan
dengan kepemilikan langsung sebesar 61,87Yo,
dan secara tidak langsung melalui PT Asuransi
Dayin Mitra Tbk, PT Datindo Entrycom, PT
Ventura Investasi Prima, pada tanggal 1 Maret
2024 telah melakukan Konversi Saldo Laba
dengan mengkapitalisasi Saldo Laba Yang Belum
Ditetapkan Penggunaannya per tanggal 31
Desember 2022 dengan nilai sebesar
Rp56.160.000.000,- dengan menerbitkan 56.160
saham baru dengan nilai nominal Rp1.000.000,-
per saham dan membagikan kepada pemegang
saham dalam bentuk Saham Bonus. Dengan
demikian modal ditempatkan dan disetor penuh
dalam ELI meningkat, dengan nilai yang sama
dengan penurunan saldo laba ELI.

In the Extraordinary General Meeting of
Shareholders held on March 1, 2024 Number 15

Bachelor of Laws, Notary in Jakarta. PT Eguity Life
Indonesia (ELI) Subsidiary of the Company with
direct ownership of 61.874, and indirectly
directly through PT Asuransi Dayin Mitra Tbk, PT
Datindo Entrycom, PT Ventura Investasi Prima, on
March 1, 2024, carried out a Retained Earnings
Conversion by capitalizing Unassigned Retained
Profit as of December 31 2022 with a value of
Rp56,160,000,000,- by issuing 56,160 new shares
with a nominal value of IDR 1,000,000 per share
and distributing them to Shareholders in the form
of Bonus Shares. Thus, the issued and fully paid
capital in ELI increases, with the same value as
the decrease in ELI's retained earnings.

Keuangan Non Bank pada tanggal 15 Desember
2023, maka dalam rangka penguatan
permodalan LI diusulkan kepada para
pemegang saham ELI untuk menyetujui
melakukan konversi Saldo Laba dengan
melakukan Kapitalisasi sebagian dari Saldo Laba
yang Belum ditetapkan penggunaannya per
| tanggal Sl Desember 2022 senilai
| Rp56.160.000.000 (lima puluh enam miliar
seratus enam puluh juta Rupiah) dengan
menerbitkan 56.160 (lima puluh enam ribu
seratus enam puluh) saham baru dengan nilai
nominal Rp1.000.000,- (satu juta Rupiah) per
saham. Saham hasil kapitalisasi Saldo Laba
tersebut akan dibagikan kepada para pemegang
saham ELI dengan rasio setiap 5 (lima) saham
lama yang dimiliki oleh Pemegang saham akan
memperoleh 1 (satu) saham bonus.

In order to strengthen the Company's capital
Structure as reguired by the applicable provisions
governing ELI'S business activities as an insurance
company as well as applicable laws and follow up
on ELI'S commitment submitted to the Non-Bank
Financial Industry Financial Services Authority on
December 15, 2023, in order to strengthen ELI's
Capital is proposed to ELI shareholders to agree
to convert Retained Earnings by capitalizing a
portion of the Retained Profit whose use has not
yet been determined as of December 31, 2022
worth IDR 56,160,000,000 (fifty-six billion one
hundred and sixty million Rupiah) by issuing
56,160 (Fifty six thousand one hundred and sixty)
new Shares with a nominal value of IDR 1,000,000
(one million Rupiah) per share. The shares
resulting from the capitalization of Retained
Earnings will be distributed to ELI shareholders in
the ratio for every 5 (five) old shares owned by
the shareholder, they will receive 1 (one) bonus
Share.

Dengan demikian penyertaan Perseroan pada ELI
meningkat dari semula 173.720 saham dengan
nilai ' nominal Rp1.000.000,- per saham
meningkat dengan perolehan Saham Bonus
sejumlah 34.744 Saham dengan nilai nominal
Rp1.000.000,- dengan demikian setelah
pembagian Saham Bonus kepemilikan pada ELI
menjadi 208.464 saham dengan nilai nominal
Rp1.000.000,-, mengingat seluruh pemegang

saham memperoleh Saham Bonus dengan rasio 5
saham lama memperoleh 1 saham baru maka
persentase kepemilikan setelah pembagian
saham bonus tidak berubah.

Thus, the Company's participation in ELI
increased from the initial 173,720 shares with a
nominal value of IDR 1,000,000 per share,
increased by the acguisition of Bonus Shares of
34,744 Shares with a nominal value of IDR
1,000,000, - thus after the distribution of the
Bonus Shares ownership in ELI became 208,464
Shares with nominal value IDR 1,000,000,
considering that all shareholders receive Bonus
Shares with a ratio of 5 old shares to 1 new Share,
the percentage of ownership after the distribution
of bonus shares does not change.
