IFISHDECO Tbk Uraian Informasi atau Fakta Material Information or Material Perseroan telah memperoleh persetujuan dari Kementerian Hukum dan Hak Asasi Manusia (“Kemenkumham”) melalui Surat Persetujuan Kemenkumham No: AHU-AH.01.03-0048586 atas penambahan penyertaan modal pada anak perusahaan, PT Patrindo Jaya Makmur (“PJM”), sebesar Rp 6.400.000.000 atas 12.800 lembar saham. Penambahan penyertaan modal dilakukan Perseroan untuk mempertahankan persentase kepemilikan saham Perseroan di PJM. Sehingga, terjadi peningkatan modal dasar pada PJM. Dengan adanya penambahan penyertaan modal dimaksud, maka komposisi kepemilikan saham PJM menjadi sebagai berikut: The Company has obtained approval f'om the Ministry of Law and Fact Description Human Rights (“MoLHR”) through MoLHR 's Decision Letter No: AHU-AH.01.03-0048586 regarding additional eguity contribution in its subsidiary, PT Patrindo Jaya Makmur (“PJM”) amounting to Rp 6,400,000,000 af 12,800 shares. The additional eguity contribution was made to increase the Company's shares ownership composition in PJM. Jacts to the activities of operational, legal, Jinancial condition or business continuity of the Company 5. | Informasi Lain-lain Transaksi ini merupakan transaksi afiliasi yang dikecualikan dari ketentuan POJK No. 42/2020 karena merupakan transaksi penambahan penyertaan modal dalam rangka mempertahankan persentase kepemilikan saham Perseroan di PJM. Transaksi ini tidak mengandung benturan kepentingan sebagaimana dimaksud POJK No. 42/2020 dan juga bukan merupakan transaksi material sebagaimana — dimaksud — dalam Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha. Other Information This transaction is an affiliate transaction which is exempt from the provisions of POJK No. 42/2020 because it is a transaction to increase capital participation in order to maintain the percentage af the Company's share ownership in PJM. The transaction is also nota conflict af interest as stipulated in POJK No. 42/2020 and also not material as contemplated under the OJK Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities.
