Pengambilalihan Pt Puri Sentul Permai Tbk
Uraian Informasi atau Fakta Material Perseroan pada tanggal 24 April 2026 telah menerima
informasi tertulis dari Ruby Mining Hongkong Limited selaku
calon pengendali baru mengenai perkembangan negosiasi
sehubungan rencana pengambilalihan saham Perseroan.
a. Berdasarkan informasi yang diterima Perseroan:
Pada tanggal 22 April 2026 telah ditandatangani Perjanjian
Jual Beli Bersyarat (Conditional Share Purchase Agreement,
Perjanjian Jual Beli Bersyarat) antara: Ruby Mining Hongkong
Limited selaku calon pengendali baru (Calon Pengendali
Baru); dan
PT Putrasakti Mandiri, PT Intan Perdana Sukses dan PT
Cahayasakti Investindo Sukses Tbk (bersama-sama disebut
sebagai Penjual)
sehubungan dengan rencana pembelian sebanyak
1.075.000.000 (satu miliar tujuh puluh lima juta) saham
Perseroan yang mewakili sebesar 86% (delapan puluh enam
persen) dari seluruh saham yang telah ditempatkan dan
disetor penuh dalam Perseroan oleh Calon Pengendali Baru
dari Penjual (Rencana Pengambilalihan)
b. Calon Pengendali Baru telah mengumumkan
perkembangan negosiasi tersebut di atas melalui surat kabar
Harian Terbit pada tanggal 24 April 2026.
Penyelesaian Rencana Pengambilalihan tunduk pada
pemenuhan persyaratan dan kondisi sebagaimana diatur
dalam Perjanjian Jual Beli Bersyarat serta ketentuan peraturan
perundang-undangan yang berlaku.
Apabila Rencana Pengambilalihan telah efektif dan
mengakibatkan perubahan pengendalian atas Perseroan,
maka Calon Pengendali Baru akan mematuhi ketentuan yang
berlaku, termasuk melaksanakan Penawaran Tender Wajib
sesuai dengan ketentuan POJK 9/2018.

Update on Negotiations Regarding the Proposed Acquisition of
Type of Material Information or Facts PT Puri Sentul Permai Tbk
Description of Material Information or On April 24, 2026, the Company received written information
Facts from Ruby Mining Hong Kong Limited, as the prospective new
controlling party, regarding the progress of negotiations
concerning the proposed acquisition of the Company shares.
a. Based on the information received by the Company:
On April 22, 2026, a Conditional Share Purchase Agreement
(the Conditional Share Purchase Agreement) was signed
between: Ruby Mining Hongkong Limited as the prospective
new controlling party (the Prospective New Controlling Party);
and
PT Putrasakti Mandiri, PT Intan Perdana Sukses, and PT
Cahayasakti Investindo Sukses Tbk (collectively referred to as
the Sellers)
in connection with the plan to purchase 1,075,000,000 (one
billion seventy-five million) shares of the Company,
representing 86% (eighty-six percent) of all issued and fully
paid-up shares in the Company, by the Prospective New
Controller from the Sellers (the Proposed Acquisition)
b. The Prospective New Controller announced the progress of
the aforementioned negotiations in the Harian Terbit
newspaper on April 24, 2026.
The completion of the Acquisition Plan is subject to the
fulfillment of the terms and conditions set forth in the
Conditional Purchase Agreement and the provisions of
applicable laws and regulations.
If the Acquisition Plan becomes effective and results in a
change of control over the Company, the Proposed New
Controlling Party shall comply with applicable regulations,
including conducting a Mandatory Tender Offer in accordance
with the provisions of POJK 9/2018.
