Ltd., suatu perseroan terbatas yang berdiri berdasarkan hukum Republik Singapura (“Pembeli”), untuk melakukan pengambilalihan saham PT Hassana Boga Sejahtera Tbk (“Perseroan”) sebanyak-banyaknya 1.050.000.000 (satu miliar lima puluh juta) saham yang mewakili sebanyak-banyaknya 41,18”6 (empat puluh satu koma satu delapan persen) dari total modal ditempatkan dan disetor penuh dalam Perseroan dari PT Asia Intrainvesta, selaku pemegang saham Pengendali dari Perseroan (“Penjual”). Seluruh rangkaian transaksi tersebut selanjutnya disebut sebagai “Rencana Pengambilalihan". In accordance with Article 4 paragraph (1) of OJK Regulation No. /POJK.04/2018 on the Takeover of Public Companies (“POJK No. 9/2018”), we hereby submit a notification regarding the plan of Saiko Consultancy Pte. Ltd., a limited liability company duly established under the laws of the Republic of Singapore (the “Purchaser'), to acguire shares of PT Hassana Boga Sejahtera Tbk (the “Company”), up to 1,050,000,000 (one billion fifty million) Shares that represents up to 41.1896 (forty-one point one eight percent) of the total issued and fully paid-up share capital of the Company from PT Asia Intrainvesta, as the Controlling Shareholder of the Company (the “Seller'). The entire series of such transactions is hereinafter referred to as the “Proposed Acguisition”. Tujuan dilaksanakannya Rencana Pengambilalihan ini adalah untuk menunjang strategi pengembangan usaha serta memperluas kegiatan bisnis dari Pembeli sebagai bagian dari rencana ekspansi korporasi. Beberapa aspek yang masih dalam pembahasan meliputi penetapan nilai akhir transaksi serta jadwal penyelesaian Rencana Pengambilalihan. Negotiations concerning the Proposed Acguisition, including matters relating to its completion, are currently being conducted directly between the Purchaser and the Seller. Several items remain under discussion, including the final transaction value and the timeline for completing the Proposed Acguisition. Pada tanggal diumumkannya informasi ini, Pembeli tidak memiliki kepemilikan, baik secara langsung maupun tidak langsung, atas saham Perseroan. As of the date of this announcement, the Purchaser does not hold, whether directly or indirectly, any Shares in the Company. Setelah Rencana Pengambilalihan diselesaikan, Saiko Consultancy Pte. Ltd. selaku calon Pengendali Baru Perseroan akan melaksanakan penawaran tender wajib sesuai dengan ketentuan POJK No. 09/2018. Pelaksanaan Rencana Pengambilalihan maupun penawaran tender wajib akan dilaksanakan dengan tunduk pada seluruh peraturan perundang-undangan yang berlaku, termasuk regulasi di bidang pasar modal. Upon completion of the Proposed Acguisition, Saiko Consultancy Pte. Ltd., as the prospective new controlling Shareholder of the Company, will conduct a mandatory tender offer in accordance with the provisions of POJK No. 9/2018. The implementation of both the Proposed Acguisition and the mandatory tender offer will be carried out in compliance with all applicable laws and regulations, including those governing the capital markets.
