Uraian Informasi atau Fakta Material Sehubungan dengan keterbukaan informasi Perseroan pada
tanggal 4 Juni 2026 nomor 142/ISP-CorSec/VI/2026 atas
penurunan modal dasar dan modal disetor pada entitas anak
yaitu PT Indobaja Primamurni (IBPM) dan telah mendapatkan
persetujuan dari Menteri Hukum Republik Indonesia
berdasarkan surat keputusan No. AHU-
0077057.AH.01.02.Tahun 2026 tanggal 19 Agustus 2026.
Keputusan tersebut diterima oleh Perseroan dari Notaris pada
tanggal 19 Agustus 2026. Atas keputusan tersebut maka
Perseroan telah menerima pengembalian setoran modal dari
IBPM sebesar Rp 19,3 miliar ( atau setara 96,5% kepemilikan
saham ).
Dengan adanya penurunan modal dimaksud maka struktur
kepemilikan saham pada PT Indobaja Primamurni tidak
mengalami perubahan secara persentase kepemilikan,
Sehingga susunan Pemegang Saham IBPM sebelum dan
setelah penurunan modal disetor menjadi sebagai berikut:

The Decrease of Capital of the Subsidiary of the Company, PT
Type of Material Information or Facts Indobaja Primamurni
Description of Material Information or In connection with the Company disclosure dated June 4,
Facts 2026, No. 142/ISP-CorSec/VI/2026, regarding the reduction of
the authorized capital and paid-in capital of its subsidiary, PT
Indobaja Primamurni (IBPM), the Company has obtained
approval from the Minister of Law of the Republic of Indonesia
pursuant to Decision No. AHU-0077057.AH.01.02 of 2026
dated August 19, 2026, which was received by the Company
from the notary on August 19, 2026. Pursuant to this decision,
the Company will receive a capital repayment from IBPM
amounting to Rp19.3 billion, representing its 96.5%
shareholding, in August 2026.
As a result of this capital reduction, the shareholding structure
of PT Indobaja Primamurni remains unchanged in terms of
shareholding percentages. Therefore, the composition of IBPM
shareholders before and after the reduction in paid up capital
is as follows:

paid-up capital are attached.
