SMBC Indonesia's Annual General Meeting of Shareholders Approves Dividend
Distribution, Demonstrating Commitment to Shareholders
Jakarta, April 23, 2026 – The Annual General Meeting of Shareholders (AGM) of PT Bank SMBC
Indonesia Tbk. (SMBC Indonesia)—a universal bank offering comprehensive services—today approved
a number of strategic initiatives to support its long-term sustainability.
The AGM resolved, among other things, to use the net profit for the 2025 fiscal year for a cash dividend
of 20% of net profit, or approximately Rp101.11 billion—equivalent to approximately Rp9.49 per share
(gross)—and not to set aside mandatory reserves, given that the bank has met the minimum
requirement of 20% of the issued and paid-in capital as stipulated by Limited Liability Companies Act
No. 40 of 2007.
SMBC Indonesia President Director Henoch Munandar said that the dividend policy, with a dividend
payout ratio of 20%, reflects SMBC Indonesia’s focus on healthy, sustainable growth and a capital
structure that remains strong to support future growth.
“This dividend distribution is part of SMBC Indonesia’s commitment to providing sustainable value to
shareholders, while also reflecting a balance between providing returns to shareholders and
strengthening capital,” Henoch said in an official statement today.
The shareholders also agreed to record the bank’s remaining net profit—after deducting the dividend
allocation and mandatory reserves, as retained earnings—and approved the proposed changes to the
composition of the Board of Directors and the Board of Commissioners.
The changes to the composition of the bank’s Board of Directors and Board of Commissioners are part
of efforts to strengthen corporate governance, through the appointment of Emilya Tjahjadi as Director
and Linus Ekabranko Windoe as Independent Commissioner, which will take effect upon approval by
the Financial Services Authority (OJK). The meeting also accepted the resignation of Ninik Herlani Masli
Ridhwan as Independent Commissioner.

“This change in the management structure is part of our efforts to strengthen the bank’s strategic
direction and governance, particularly to ensure that the wholesale banking and commercial banking
segments become even more robust—in terms of growth strategy, portfolio management, and
strengthening relationships with corporate clients,” Henoch added.
The meeting also approved the bank’s Annual Report and adopted the Consolidated Financial
Statements for the fiscal year ending December 31, 2025. As of 2025, SMBC Indonesia’s consolidated
total assets reached Rp245.9 trillion, growing 2.0% year-on-year (yoy).
Meanwhile, SMBC Indonesia also recorded Rp1.5 trillion in net profit after tax for bank only throughout
2025.
In addition to these agenda items, shareholders approved several updates to the bank’s Recovery Plan
as part of efforts to strengthen resilience and preparedness against a multitude of economic
conditions. The meeting also received several reports from the bank, including its business plan report,
the sustainable finance action plan report, and the report on the utilization of proceeds from the public
bond offering, as part of its commitment to transparency toward shareholders.
Going forward, SMBC Indonesia will continue to enhance its services to multiple customer segments
through an increasingly seamless banking experience, while promoting healthy and sustainable
growth by prioritizing the principles of prudence, strengthening asset quality, and optimizing synergies
within the group.
