Material facts — the signing of the convertible note deed as a follow-up to the Binding Offer with Tolu Minerals Limited. 3. | Uraian informasi atau Fakta Material lainnya yang relevan/ Details of information or other relevant Material Fact: Pada tanggal 20 April 2026, Perseroan telah menandatangani Convertible Note Deed (“Perjanjian”) sebagai tindak lanjut dari penawaran (binding offer) dengan Tolu Minerals Limited — (“Tolu”) sehubungan dengan investasi dalam instrumen surat utang yang dapat dikonversi menjadi saham (convertible note) dan diterbitkan oleh Tolu. Dengan selesainya proses tersebut, Petrosea memiliki convertible note senilai A$23,75 juta yang memberikan hak kepada Perseroan untuk dapat mengonversi convertible note tersebut menjadi 14.615.385 saham baru dengan harga AS1,625 per saham. Investasi pada convertible note ini juga membuka peluang kemitraan operasional, di mana Perseroan berkomitmen untuk menjajaki berbagai skema komersial dalam penyediaan jasa pertambangan serta layanan pendukung lainnya bagi proyek Tolu Minerals Limited. On 20 April 2026, the Company signed a Convertible Note Deed (“the Agreement”) asa follow-up to a binding offer with Tolu Minerals Limited (“Tolu”) regarding an investment in @ debt instrument convertible into shares (a convertible note) issued by Tolu. With the completion of this process, Petrosea holds a convertible note valued at AS23.75 million, which grants the Company the right to convert the note into 14,615,385 new shares at a price of 'AS1.625 per share. This investment in the convertible note also opens opportunities for operational partnership, in which Petrosea is committed to exploring — various commercial arrangements to provide mining services and other supporting services for Tolu's projects.
