trade of new cars and new motorcycles in the form of battery-based
electric motor vehicles, spare parts components, car accessories, and
four-wheeled or more motor vehicle body industry, battery-based
electric motor vehicles, two- and three-wheeled motorcycles as well as
iron and steel casting industry, spare parts industry, and accessories
of four-wheeled or more wheeled motor vehicles through subsidiaries
of the Company.

Information or Facts The execution of the Shareholders Agreement between the Company
and PT IMG Sejahtera Langgeng (“IMGSL”) (“Agreement/Strategic
Partnership”) falls under the category of Other Material Information
or Facts by Article 6 point (cc) of OJK Regulation 31/2015.
3. Uraian Informasi atau Bersama ini kami sampaikan bahwa Perseroan telah menandatangani
Fakta Material Perjanjian yang mana Perjanjian ini merupakan langkah awal
kemitraan strategis dengan IMGSL, yang merupakan bagian dari Grup
Indomobil, di bidang perdagangan besar kendaraan bermotor roda
empat melalui perusahaan patungan ke depannya.
Description of Material
Information or Facts We hereby inform that the Company has executed the Agreement in
which aforesaid Agreement is an initial stage of a strategic partnership
with IMGSL, a part of Indomobil Group, in the sector of wholesale trade
of four-wheeled vehicles through a joint venture company later on.
4. Dampak kejadian, Dengan ditandatanganinya Perjanjian, diharapkan dapat berdampak
informasi atau fakta pada potensi penambahan pendapatan dan laba Perseroan ke
material tersebut terhadap depannya. Sampai dengan tanggal Keterbukaan Informasi ini
kegiatan operasional, disampaikan, informasi material ini tidak memiliki dampak terhadap
hukum, kondisi keuangan, kegiatan hukum, kondisi keuangan, atau kelangsungan usaha
atau kelangsungan usaha Perseroan.

information or facts on the increase in revenue and profitability of the Company. Until this
Company’s operational, law, Disclosure of Information is conveyed, this material information does
financial condition or not have material impacts on the Company’s law, financial condition, or
business continuity business continuity.
5. Keterangan lain-lain Perjanjian ini bukan merupakan transaksi material serta bukan
transaksi afiliasi dan benturan kepentingan sebagaimana dimaksud
dalam peraturan perundang-undangan yang berlaku, terutama di
bidang pasar modal.
Other Information This Agreement is not a material transaction as well as not an affiliated
and conflict of interest transaction under prevailing laws and
regulations, especially in the capital market sector.
