                                            99,98% (sembilan puluh sembilan koma sembilan delapan
                                            persen) dari total modal ditempatkan dan disetor dalam SCG,
                                            sebagai pihak yang akan melaksanakan penawaran tender
                                            wajib sesuai dengan ketentuan dalam POJK 9/2018.

                                               Information or material fact related to the change of control of
 Type of Material Information or Facts         the Company

 Description of Material Information or        On 30 July 2026, Saiko Consultancy Pte. Ltd. (Saiko) and the
 Facts                                         Companys majority shareholder, PT Asia Intrainvesta (AI),
                                               entered into a Conditional Sale and Purchase Agreement (as
                                               may be amended from time to time, hereinafter shall be
                                               referred to as CSPA).

                                               Based on the notification previously submitted by Saiko on 31
                                               July 2026, as the implementation of the CSPA, on 19 August
                                               2026, Saiko has completed the acquisition of 750,000,000
                                               (seven hundred fifty million) shares of the Company from AI
                                               (as the former controller of the Company) at a purchase price
                                               of IDR23.5 (twenty-three point five Rupiah) per share, with a
                                               total transaction value of IDR17,625,000,000 (seventeen billion
                                               six hundred twenty-five million Rupiah) (Acquisition). Following
                                               the completion of the Acquisition, Saiko currently holds
                                               29.41% (twenty-nine point four one percent) of the shares in
                                               the Company, and becomes the new controller of the
                                               Company.

                                               Saikos purpose in conducting the Acquisition is as part of its
                                               strategic efforts to expand and strengthen its business.

                                               Prior to the Acquisition, Saiko does not have any affiliation
                                               relationship with the Company or any of the Companys
                                               shareholders.

                                              nine eight percent) of the total issued and paid-up capital of
                                              SCG, as the party who will conduct the mandatory tender offer
                                              in accordance with the provisions of POJK 9/2018.
