Perseroan memutuskan perubahan susunan anggota
Direksi dan Dewan Komisaris Perseroan melalui
Keputusan Sirkuler Pemegang Saham sebagai Pengganti
Rapat Umum Pemegang Saham Luar Biasa Perseroan
(“Keputusan Sirkuler”), dimana dalam Keputusan
Sirkuler tersebut, ' Pemegang — Saham
menyetujui pengunduran diri dan pengangkatan Wakil
Direktur Utama dan Komisaris Utama Perseroan.

Perseroan

On February 15", 2024, the Shareholders” of the
Company decided to change the members of the Board of
Directors and the Board of Commissioners of the
Company through a Circular Resolution of Shareholders
in lieu of the Extraordinary General Meeting of
Shareholders of the Company ("Circular Resolution"),
whereby in the said Circular Resolution, the Company
Shareholders has approved the resignation and
appointment of the Vice President Director and President
Commissioner of the Company.

Keputusan Sirkuler tersebut memutuskan:
The Circular Resolution resolved:

I. Menerima dan menyetujui pengunduran diri dari
Wakil Direktur Utama dan Komisaris Utama
Perseroan yaitu:

Accept and approve the resignation of Vice President

Director and President Commissioner of the

Company, namely:

a. Joohyun Hwang, sebagai Wakil Direktur Utama,
dan
Joohyun Hwang, as Vice President Director,
and

b. Song, Yong Hun, sebagai Komisaris Utama.
Song, Yong Hun, as President Commissioner.

2. Memberhentikan dengan hormat Kisup Wi sebagai
Direktur Keuangan Perseroan dan mengangkat Kisup
Wi sebagai Wakil Direktur Utama Perseroan dengan
masa jabatan untuk jangka waktu 5 (lima) tahun,
dimana pemberhentian dan pengangkatannya hanya
akan berlaku efektif sejak tanggal yang bersangkutan

lulus Uji Kemampuan dan Kepatutan (Fit and Proper
Test) dari Otoritas Jasa Keuangan (“OJK”) terhadap
pengangkatannya selaku Wakil Direktur Utama
Perseroan.

Honorably discharge Kisup Wi as Finance Director
of the Company and appoint Kisup Wi as a Vice
President Director of the Company with a term of
Ulfice for a period of 5 (five) years, in which the
discharge and the appointment shall only be effective
as of Ihe date he passes the Fit and Proper Test from
Financial Services Authority ("OJK") for his
appointment as a Vice President Director of the
Company.

Mengangkat Moon Cheol Kang sebagai Komisaris
Utama Perseroan dengan masa jabatan untuk jangka
waktu 5 (lima) tahun, yang hanya akan berlaku
efektif sejak tanggal yang bersangkutan lulus Uji
Kemampuan dan Kepatutan (Fit and Proper Test)
dari OJK terhadap pengangkatannya selaku
Komisaris Utama Perseroan.

Appoint Moon Cheol Kang as President
Commissioner of the Company with a term of office

Jor a period of 5 (five) years, which shall only be

effective as of the date he passes the Fit and Proper
Test from OJK for his appointment as the President
Commissioner of the Company.

Sehubungan dengan keputusan-keputusan tersebut
diatas dan tunduk pada ketentuan Pasal 12 dan Pasal
15 anggaran dasar Perseroan juncto Peraturan OJK
Nomor 29/POJK.05/2020 tentang Perubahan Atas
Peraturan — Otoritas Jasa — Keuangan — Nomor
30/POJK.05/2014 tentang Tata Kelola Perusahaan
yang Baik Bagi Perusahaan Pembiayaan, oleh karena
untuk pengangkatan penggantinya yang masih
menunggu hasil Fit and Proper Test dari OJK, maka
susunan Direksi dan Dewan Komisaris Perseroan
akan menjadi sebagai berikut:

tanggung jawab sepenuhnya (volledig acguit et de
charge) kepada Joohyun Hwang sebagai Wakil
Direktur Utama dan Song Yong Hun sebagai
Komisaris Utama atas tindakan-tindakan korporasi
selama masa jabatannya dan sepanjang yang
dilakukan diakui dan disetujui oleh para Pemegang
Saham serta tercermin dalam Laporan Keuangan
Perseroan.
Approve and grant a full release and discharge of
responsibility (volledig acguit et de charge) to
Joohyun Hwang as a Vice President Director and
Song Yong Hun as a President Commissioner for
corporate actions during their tenure and such
corporate actions are acknowledged and approved by
Ihe Shareholders as well as the
Company & Financial Statements.
