Pendahuluan

Dengan merujuk kepada POIK No. 17/2020,
Peraturan OJK No. 31/POIK.04/2015 tentang
Keterbukaan atas Informasi atau Fakta Material
Oleh Emiten atau Perusahaan Publik dan Ketentuan
Lampiran Peraturan I-£ Surat Keputusan Direksi PT
Bursa Efek Indonesia KEP-00015/BEI/01-2021
tentang Kewajiban Penyampaian Informasi,
bersama ini kami sampaikan Laporan Informasi
atau Fakta Material terkait dengan Transaksi
Material (sebagaimana yang dimaksud dalam POJK
No. 17/2020) sehubungan dengan Fasilitas Kredit :
a).Fasilitas Kredit Modal Kerja sebesar
Rp40.000.000.000,- (empat puluh miliar Rupiah),
yang diterima oleh Perseroan dari PT. Bank Mandiri

(Persero) Tbk (“Bank”)

b).Fasilitas Kredit Modal Kerja sebesar
Rp20.000.000.000,- (dua puluh miliar Rupiah),
c).Fasilitas — kredit investasi 2 sebesar
Rp240.000.000.000 (dua ratus empat puluh miliar):
d).Fasilitas Kredit Investasi PKS sebesar

Rp90.000.000.000,- (Sembilan puluh miliar Rupiah)
yang diterima oleh PT. Samukti Karya Lestari dan
pemberian jaminan tambahan kepada PT Bank
Mandiri (Persero) Tbk (“Bank”).

Transaksi yang disebutkan disebut sebagai
transaksi material dikarenakan pelaksanaan
transaksi di atas memiliki nilai lebih dari 5096 (lima
puluh persen) ekuitas PT Samukti Karya Lestari,

By referring to the POIK No. 17/2020, the OJK
regulation number 31/POJK.04/2015 concerning
Disclosure of Information or material facts by
Emitent or Public Company and the Provision in
Attachment of Regulation I-E in Decree of Indonesia
Stock Exchange BOD KEP-00015/BEI/01-2021
concerning Obligation to submit Information,
hereby we convey Information Report or Material
Facts related to the Material Transaction (as
mentioned in POJK No. 17/2020) in connection with
the Credit Facility :

a) Opex Credit Facility as amount
Rp40,000,000,000,- (forty billion Rupiah)
received by the Company from PT. Bank Mandiri
(Persero) Tbk (“Bank”).:

b) Opex Credit Facility as amount
Rp20,000,000,000,- (twenty billion Rupiahs),

c)Investment Credit Facility 2 as amount
Rp240,000,000,000 (two hundred forty billion
Rupiahs), d). PKS Investment Credit Fascility as
amount

d)Rp90,000,000,000,- (ninety billion Rupiahs)
received by the Company and providing
additional guarantees to PT Bank Mandiri
(Persero) Tbk (“Bank”)

The transactions mentioned are referred to as
material transaction because the implementation
of the transaction above has value more than 5096

yaitu sebesar 88,654 (delapan puluh delapan koma
enam puluh lima persen).

Berdasarkan ketentuan Pasal 11 POJK No. 17/2020,
Perseroan tidak wajib menggunakan penilai dan
memperoleh persetujuan Rapat Umum Pemegang
Saham dalam hal Transaksi Material tersebut
merupakan transaksi perolehan pinjaman yang
diterima secara langsung dari dan pemberian
jaminan kepada bank. Oleh karenanya, Perseroan
cukup mengumumkan keterbukaan informasi
kepada masyarakat dan melaporkan kepada OJK.

. Uraian Transaksi
. Objek Transaksi

Obyek Transaksi ini adalah Perjanjian Pinjaman
antara Perseroan dengan Bank sesuai Perjanjian
Kredit tertanggal 5 Februari 2024 (“Perjanjian”)

. Nilai Transaksi

Nilai Transaksi adalah sebagai berikut :
a).Fasilitas Kredit Modal Kerja sebesar
Rp40.000.000.000,- (empat puluh miliar Rupiah)

b).Fasilitas Kredit Modal Kerja sebesar
Rp20.000.000.000,- (dua puluh miliar Rupiah),
Cc).Fasilitas — kredit investasi 2 sebesar
Rp240.000.000.000 (dua ratus empat puluh miliar
Rupiah),

d).Fasilitas Kredit Investasi PKS sebesar

Rp90.000.000.000,- (Sembilan puluh miliar Rupiah)

. Pihak yang Melakukan Transaksi

Pihak dalam Transaksi adalah PT. Cisadane Sawit
Raya Tbk dan PT Samukti Karya Lestari (Entitas Anak
Perseroan) dengan PT Bank Mandiri (Persero) Tbk

. Ketentuan Perjanjian Pinjaman

1) Bunga Pinjaman
Bunga atas Fasilitas Kredit yang diberikan oleh
Bank adalah sebesar 8,50x per tahun dan
dapat berubah sesuai ketentuan yang berlaku.
2) Jangka Waktu
Jangka waktu Fasilitas Modal Kerja adalah sejak
tanggal penandatanganan Perjanjian yaitu
tanggal 5 Februari 2024 sampai dengan tanggal
4 Februari 2025.
Jangka waktu Fasilitas Kredit Investasi adalah
sejak tanggal penandatanganan Perjanjian
yaitu tanggal 5 Februari 2024 sampai dengan
tanggal 4 Februari 2034.
Jangka waktu Fasilitas Kredit PKS adalah sejak
tanggal penandatanganan Perjanjian yaitu
tanggal 5 Februari 2024 sampai dengan tanggal
4 Februari 2032.

(fifty percent) of Company eguity, which is 88.654
(eighty eight point sixty five percent).

In accordance with the Article 11 POJK No.
17/2020, the Company is not reguired to use
appraiser and obtain approval from the General
Meeting of Shareholders because the Material
Transaction is a transaction for obtaining loans
received directly from and providing guarantees to
the Bank. Therefore, the Company simply
announces the Disclosure of Information to the
public and reports to the OJK.

Transaction Description

a. Transaction Object
the Object of this Transaction is Loan Agreement
between Company and Bank according to the
Credit Agreement dated on February 5, 2024
(“Agreement”)

b. Value of Transaction
The value oftransaction is :

a) Opex Credit Facility as amount
Rp40,000,000,000,- (forty bitlion Rupiahs),
b) Opex Credit Facility as amount

Rp20,000,000,000,- (twenty billion Rupiahs):

c) Investment Credit Facility 2 as amount
Rp240,000,000,000 (two hundred forty billion
Rupiahs),

d) PKS Investment Credit Facility as amount
Rp90,000,000,000,- (ninety billion Rupiahs)

€c. Transacting Parties

The Parties in this Transaction is PT Cisadane

Sawit Raya Tbk and PT Samukti Karya Lestari (the

Company's subsidiary) with PT Bank Mandiri

(Persero) Tbk

d. Loan Agreement Terms

1) Loan Interest
The Loan Interest of the Credit Facility given
by Bank is 8.504 perannum and may change
according to the applicable regulations

2) Time Period

The term of working capital Credit Facility
Investment is effective from the signing date
of the Agreement which is February 5, 2024
until February 4, 2024.

The term of the Credit Facility is forthe period
from the signing date of the Agreement until
the end of the availability period of the
Investment Credit Facility. - The term of the
Mill credit facility is February 4, 2034.

pengoperasian dan pemeliharaan PKS.

MH. Tidakada dampak material dari kejadian,
informasi, atau fakta material terhadap
kondisi keuangan Perseroan, kecuali
adanya kewajiban pembayaran bunga
dan pokok pinjaman secara periodik.

IW.  Tidakada dampak material dari kejadian,
informasi, atau fakta material tersebut
terhadap hukum dan kelangsungan
usaha Perseroan.

The term of the Credit Facility PKS is from the
date of signing the Agreement on February 5,
2024, until February 4, 2032.
3) Guarantees The Company provides the
following guarantees:
a. Business Use Right Certificate No.
00250/South Tapanuli covering an area of
65.19 hectares.
b. Business Use Right Certificate No.
00251/South Tapanuli covering an area of
6,765.10 hectares.
Cc. Business Use Right Certificate No.
00007/South Tapanuli covering an area of
12.70 hectares.
d. Business Use Right Certificate No.
00008/South Tapanuli covering an area of
42.74 hectares.
e. Business Use Right Certificate No.
00010/South Tapanuli covering an area of
31.53 hectares.

4) Guarantees The Company provides the

Material Transaction and the Effect to the

IL Provision of Investment Credit Facilities by
the Bank to support the PKS project
implementation of Provision, Operation and

IL There is no material impact from this event,

Company's financial condition, except for
the obligation to pay interest and principal
on a periodic basis

m. Pernyataan Direksi dan Dewan Komisaris

a. Keterbukaan Informasi ini adalah upaya
Peseroan untuk memenuhi persyaratan
dan kewajiban keterbukaan informasi
yang tercantum dalam POJK 17/2020.
Transaksi Material ini tidak mengandung
benturan kepentingan dan bukan
merupakan transaksi afiliasi sebagaimana
dimaksud dalam POJK No. 42/2020.
Pernyataan dalam Keterbukaan Informasi
yang disampaikan tidak memuat
pernyataan-pernyataan atau informasi
