(“the Company”) Dear Sir, We refer to Financial Services Authority Regulation No. 31/POJK.04/2015 concerning Disclosure of Material Information or Facts by Issuers or Public Companies and Rule Number I-E regarding Obligation to Submit Information, Attachment to the Decree of Board of Directors of PT Bursa Efek Indonesia No. KEP- 00066/BE1/09-2022 dated 30 September 2022, we hereby disclose the information or material fact, as follows: 1 | Tanggal Kejadian/Date of Event 15 Februari 2024 2 | Jenis Informasi atau Fakta Material/Type of | Informasi atau fakta material lainnya | Material Information or Fact | Information or other material facts 3 | Uraian Informasi atau Fakta | Pada tanggal 15 Februari 2024, Perusahaan Material/Description of Material Information | melalui anak perusahaannya yaitu PT Net or Fact Mediatama Televisi (“NMT”) telah menerima pemberitahuan resmi dari Agen Fasilitas yaitu PT Bank CIMB Niaga Tbk. (“Bank CIMB”), sehubungan dengan pinjaman sindikasi NMT dari Bank CIMB yang dialihkan kepada Newton Capital Ltd. pada tanggal 2 Februari 2024. On 15 February 2024, the Company through its subsidiary PT Net Mediatama Televisi (“NMT”) received formal notification from Agent Facility, PT Bank CIMB Niaga Tbk. | transferred to Newton Capital Ltd. on 2 February | 2024. | Adapun pengalihan pinjaman tersebut didasarkan pada fasilitas kredit sindikasi yang sebelumnya telah ditandatangani oleh NMT dengan Bank CIMB dan PT Bank Artha Graha Internasional Tbk. selaku kreditor berdasarkan Akta Perjanjian Fasilitas Kredit No. 101 tanggal 29 Januari 2020 yang terakhir diubah dengan Perjanjian Perubahan Ketiga atas Perubahan dan Pernyataan Kembali Perjanjian Fasilitas Kredit tanggal 27 Maret 2023. The transfer of the loan is based on the syndicated credit facility previously signed by NMT with Bank CIMB and PT Bank Artha Graha Internasional Tbk. | as the creditors based on Credit Facility Agreement No. 101 dated 29 January 2020 which was last | amended by the Third Amendment of Credit | Facility Agreement dated 27 March 2023. 4 | Dampak Kejadian/Impact of Event Setelah pengalihan pinjaman oleh Bank CIMB tersebut maka untuk selanjutnya Newton Capital Ltd. akan menjadi kreditor baru NMT. Tidak ada dampak keuangan apapun terhadap NMT, maupun Perusahaan. Newton Capital Ltd. bukan pihak terafiliasi dengan NMT, maupun Perusahaan. After the loan transfer by Bank CIMB, Newton Capital Ltd. will subseguently become NMT's new creditor. There is no financial impact whatsoever on NMT, or the Company.
