Penjelasan

Jumlah karyawan Perseroan sebanyak 5 Orang
terdiri dari Direksi dan Komisaris, namun 4
orang diantaranya sudah mengundurkan diri
pada tanggal 15 Maret 2021 (RUPS-LB belum
diadakam), sehingga karyawan aktif sampai saat
ini hanya | orang. yaitu Presdien Direktur.

Dan jumlah karyawan anak Perusahaan (PT
Warga Tri Manunggal sampai saat ini sebanyak
3 orang yang terdiri dari Direksi dan Komisaris.

Penjelasan terkait perkembangan terkini atas
kondisi operasional Perseroan.

Penjelasan

Kondisi terkini kegiatan operasional Perseroan,
Hotel Goodway Batam (milik Perseroan) sejak
tutup pada tanggal 21 Agustus 2018 sampai
sekarang belum beroperasi kembali, karena
belum dilakukan renovasi sesuai amanat
RUPS-LB berupa perubahan penggunaan dana
PUT II. Keadaan Bangunan Hotel sekarang
hanya berupa bangunan fisik tanpa peralatan
atau inventaris.

Sebagaimana yang kami sampaikan pada
Keterbukaan Infomrasi pada tanggal 20 April
2021 bahwa Aset tetap Perseroan berupa
Bangunan Hotel dan Rumah Toko (Ruko)
statusnya dalam penyitaan Kejaksaan Agung
Republik Indonesia

Sehubungan dengan pemegang saham
Perseroan, agar dijelaskan:

Esplanation
The number of employees of he Company is 5
people consisting of Directors and
Commissioners, however 4 of them resigned on
March 15 2021 (the EGMS has not yet been
held), s0 currendy there is only 1 active
employee, namely the President Director.

'And the number of employees of the subsidiary
(PT Warga Tri Manunggal) to date is 3 people
consisting of Directors and Commsssioners.

Explanation regarding the latest developments
regarding ” the” Company's — operational
conditions.

Explanation
The current condition of the Company's
operational activities, the Goodway Batam
Hotel (owned by the Company) since 1t closed
on August 21 2018 until now has not been
operational again, because renovations have not
been carried out in aceordance with the
mandate Of the EGMS-LB in the form of
changing the use of PUT II funds. The current
state of the Hotel Building is just a physical
building without eguipment or inventory

As we stated in the Information Diselosure on
April 20 2021, the Company's fixed assets in
the form of Hotel Buildings and Shophouses
(Ruko) are under confiscation by the Attorney
General of the Republic of Indonesia.

Penjelasan

Berdasarkan surat Biro Administrasi Efek
(BAE) PT Ficomindo Buana Regsiter
Nomor 168/HOME-FBR/XI/22 tanggal 14
Nopember 2022, kepemilikan saham bapak
Benny Tjokro Tjokrosaputro dan afiliasinya
diambil alih oleh Kejaksaan Agung
Republik Indoensia, sehingga kepemilikan
Kejaksaan Agung RI pada Perseroan
sebesar 19704, kemudian berdasarkan
Surat BAE Nomor 169 HOME-FBR/XI1/22
tanggal 15 Desember 2022, kepemilikan
saham Kejaksaan Agung RI pada Perseroan
naik menjadi 24.676

Sejak kepemilikan bapak Benny Tjokro
Tjokrosaputro pada Perseroan sudah
diambil alih Kejaksaan Agung RI. dapat
dikatakan bahwa bapak Benny Tjokro
Tjokrosaputro masih sebagai pengendali
karena beliau mempunyai kemampuan
untuk menentukan, baik langsung maupun
tidak langsung, dengan cara apapun
pengelolaan da/atau kebijakan Perseroan.

Agar dijelaskan upaya yang telah dilakukan
Perseroan dalam rangka memperbaiki kinerja
operasional Perseroan termasuk kendala-
kendala yang dihadapi.

Penjelasan
Pada awalnya — Perseroan — berencana
menggunakan dana hasil PUT II untuk modal
kerja, namun kemudian ada perkembangan atau
opsi baru untuk mengembangkan proyek mini
satellite city, dalam rangka merealisikan
rencana tersebut Perseroan — melakukan
penyertaan pada TIS, karena TIS tersebut dapat
melakukan pengadaan lahan untuk mendukung
rencana proyek Perseroan.

November 2022, the share ownership of Mr.
Benny Tjokro Tjokrosaputro and his
affiliates was taken over by the Altorney
General of the Republic of Indonesia, s0
that the ownership of the Attorney General
Of the Republic of Indonesia is in the
Company amounting to 19.706, then based
on BAE Letter Number 169/HOME-
FBR/XII/22 dated 15 December 2022, the
Indonesian Attorney Generals share
ownership in the Company increased to
246796,

Since Mr. Benny Tjokro Tjokrosapuwo's
ownership of the Company has been taken
over by the Attorney General's Office of the
Republic of Indonesia, it can be said that
Mr. Benny Tjokro Tjokrosaputro is still the
controller because he has the ability to
determine, cither directly or indireetly, in
any way the management and/or policies of
the Company.

5. To explain the efforts that the Company has

made to improve the Company's operational
performance, including the obstacles faced.

Explanation

Initally the Company planned to use the
proceeds from PUT II for working capital, but
ihen there was a new development or option to
develop a mini satellite city project, in order to
tealize this plan the Company invested in TIS,
because TIS could acguire land to support the
Company's projeet plans

Perseroan juga berencana membangung tower
pengganti Hotel Goodway di Pulau Batam
dengan konsep mix building.

Direksi dan Komisaris berusaha agar
operasional Perseroan tetap berjalan secara
sustainable, namun semua rencana diatas tidak
bisa diwujudkan sebagaimana mestinya, karena
Pengendali Perseroan sebagai pihak pengambil
keputusan, penentuan kebijakan strategis dan
pemegang dana menghadapi masalah pribadi
schingga tidak bisa hadir dalam Perseroan.

Rencana Perseroan dalam upaya memperbaiki
kelangsungan usaha (going concern) serta
upaya yang telah dilakukan — untuk
merealisasikan rencana tersebut.

Penjelasan
Seperti dijelaskan pada poin 5 diatas, Perseroan
Ietap akan merealisasikan rencana yang dibuat
sebelumnya.  Upaya-upaya yang telah
dilakukan untuk mewujudkan rencana tersebut
dilakukan oleh Presiden Direktur dengan terus
membangun komunikasi dengan pihak
pengedali

Informasi mengenai perkara hukum yang
dihadapi Perseroan saat ini (jika ada).

Penjelasan
Sampai tanggal surat ini dibuat, Perseroan tidak
ada menghadapi perkara hukum.

Strategi Perseroan untuk melakukan perbaikan
atas kondisi yang menyebabkan suspensi.

Penjelasan
Perseroan — melalui Presiden — Direktur
berkomitmen untuk menyelesaiakan persoalan-
persoalan yang menyebabkan Perseroan
dikenakan sanksi suspense,

Rencana Perseroan dan target waktu untuk
memenuhi kewajiban keuangan kepada Bursa
yang belum dipenuhi oleh Perseroan.

As explained in point 5 above, the Company
will continue to realize the plans made
previously. The efforts that have been made to
realize this plan are carried out by the President
Director by continuing to build communication

Perseroan telah mencatat semua beban diha
kewajiban keuangan kepada Bursa yang harus
dilunasi, hal ini telah diajukan kepada Pihak
Pengendali. karena posisi Pihak Pengendali
berada dalam situasi yang sulit, maka Perseroan
pada saat ini belum bisa memberikan target
waktu pelunasannya, namun jika sudah disetujui
oleh Pihak Pengendali, maka Perseroan akan
segera menginformasikannya kepada Bursa
