Strong 1H2026 Performance, Prodia Prepares Share Buyback of Up to IDR 150 Billion
to Continue Creating Long-Term Shareholder Value
JAKARTA, 19 August 2026 – PT Prodia Widyahusada Tbk (“Prodia” or the “Company”; IDX: PRDA) is
planning to conduct another share buyback of the Company’s issued and listed shares on the Indonesia
Stock Exchange (IDX). This initiative follows the share buyback program carried out in 2025 and reflects
the Company’s commitment to maintaining share price stability amid continued significant market
volatility, while strengthening shareholders’ confidence in the Company’s fundamentals and long-term
prospects.
The Company has allocated up to IDR 150 billion for the share buyback, including transaction costs,
which will be fully funded by the Company’s internal cash. The buyback may be carried out gradually or
in a single transaction through the IDX, subject to market conditions and applicable regulations. The
planned buyback will be conducted in accordance with the provisions of the Financial Services Authority
(OJK), namely OJK Regulation (POJK) No. 13 of 2023, OJK Regulation (POJK) No. 29 of 2023, and OJK
Letter No. S-10/D.04/2026 dated 13 March 2026. Under these provisions, the Company may carry out
the buyback without prior approval from the General Meeting of Shareholders (GMS). The Company has
disclosed the plan to shareholders through an Information Disclosure, and the buyback will be
conducted through the IDX for a maximum period of three (3) months, from 20 August 2026 to 19
November 2026.
President Director of the Company, Liana Kuswandi, stated that the buyback forms part of the
Company’s strategy to create long-term value for all shareholders. “As a company with strong
fundamentals, we view the buyback as a strategic measure that demonstrates the Company’s confidence
in Prodia’s long-term business prospects. Amid ongoing market dynamics, we aim to further strengthen
investor confidence while optimizing value for our shareholders. The Company will carry out the buyback
prudently, while continuing to uphold the principles of Good Corporate Governance (GCG) and comply
with all applicable laws and regulations.”
Finance & Sustainability Director, who also serves as the Company’s Corporate Secretary, Marina Eka
Amalia, added that the buyback will be carried out in a measured manner, while maintaining a prudent
approach to the Company’s financial management. “This buyback is supported by the Company’s healthy
liquidity, cash flow, and fundamentals. This initiative also reflects management’s confidence in the
Company’s improving performance and future business growth prospects. We believe that the
Company’s current share price does not yet fully reflect its underlying fundamentals. Therefore, we
consider the buyback an appropriate form of capital allocation to create long-term value for
shareholders.”

The buyback will be fully funded by Prodia’s internal cash and therefore is not expected to disrupt the
Company’s operational activities, expansion plans, or ability to meet its financial obligations. The
Company remains committed to maintaining financial discipline while supporting sustainable business
growth.
As stated in the Company’s Information Disclosure, the buyback is a strategic measure aimed at
supporting long-term growth, maintaining share price stability, strengthening market confidence, and
optimizing the Company’s capital structure to deliver sustainable value to shareholders. The Company
also believes that the buyback will not have a material impact on its operational activities or financial
performance, as it is supported by adequate working capital and cash flow.
The Company extends its appreciation for the continued trust of all shareholders and will remain focused
on strengthening its business fundamentals, implementing good corporate governance, and creating
long-term value for all stakeholders.

As of June 30, 2026, Prodia operated a network of 392 service outlets across 82 cities, 111 regencies, and 34 provinces throughout Indonesia. These include Prodia
