Uraian Informasi atau Fakta Material Bahwa pada tanggal 30 Januari 2024, PT Karya Samudera
Insani (KSI) telah menandatangani Memorandum of
Agreement (MOA) dengan salah satu perusahaan pelayaran
yang berdomisili di Republik Panama untuk pembelian 1 (satu)
unit Mother Vessel Bulk Carrier
Uraian Informasi atau Fakta Material
1. Jenis asset adalah 1 (satu) unit Mother Vessel Bulk
Carrier.
Spesifikasi Umum dari Mother Vessel tersebut adalah sebagai
berikut:
Dimensi Kapal : SUPRAMAX
Tahun Pembuatan : 2009
Kelas: BV
Bendera saat ini : PANAMA
2. Nilai transaksi adalah sebesar USD 14,800,000
(empat belas juta delapan ratus ribu Dolar Amerika
Serikat).
3. Pihak yang bertransaksi:
a. Penjual adalah sebuah perusahaan pelayaran yang
didirikan berdasarkan hukum Republik Panama dan
berdomisili di Panama; dan
b. Pembeli adalah KSI yang merupakan entitas anak
usaha Perseroan dengan kepemilikan secara tidak
langsung sebesar 99.9%.
4. Antara Penjual dan Pembeli tidak memiliki hubungan
afiliasi.
5. Sumber pendanaan untuk pembelian adalah 80%
(delapan puluh persen) berasal dari salah satu bank
milik Pemerintah, dan sisanya berasal dari keuangan
internal.

Dampak kejadian, informasi atau fakta Kegiatan Operasional
material tersebut terhadap kegiatan Berdampak positif terhadap kegiatan operasional Perseroan
operasional, hukum, kondisi keuangan, karena Perseroan melalui anak usaha mendapatkan armada
atau kelangsungan usaha Emiten atau baru untuk mendukung pengangkutan kargo milik pelanggan
Perusahaan Publik Perseroan.
Hukum
Perusahaan berkewajiban untuk melakukan pembayaran
harga pembelian sesuai dengan ketentuan yang diatur dalam
MOA.
Kondisi Keuangan
Diharapkan dengan beroperasinya Mother Vessel ini nantinya
akan dapat meningkatkan pendapatan Perseroan.
Kelangsungan Usaha.
Kelangsungan usaha tetap terjaga dan terjamin dengan baik.
Keterangan Lain-lain
Berdasarkan nilai transaksi tersebut di atas, transaksi ini
bukan merupakan transaksi material, karena nilai transaksi
tidak lebih dari 20 % dari nilai ekuitas Perseroan sebagaimana
tercantum dalam Laporan Keuangan Audit Perseroan Tahun
Buku 2022.

Description of Material Information or Whereas on January 30, 2024, PT Karya Samudera Insani
Facts (KSI) has signed a Memorandum of Agreement (MOA) with a
shipping company domiciled in the Republic of Panama for the
purchase of 1 (one) unit Mother Vessel Bulk Carrier.
Information Description or Material Fact
1. The type of asset is 1 (one) unit Mother Vessel Bulk
Carrier.
General specification of the Mother Vessel is as follows:
Dimension (Size): SUPRAMAX
Year of Built : 2009
Class: BV
Current flag: PANAMA
2. The transaction value is USD 14,800,000 (fourteen
million eight hundred and thousand US Dollars).
3. Parties in transaction:
a. Seller is a shipping company incorporated under the
laws of the Republic of Panama and domiciled in
Panama; and
b. The buyer is KSI which is a subsidiary of the
Company with indirect ownership of 99.9%.
4. There is no affiliate relationship between the Seller
and the Buyer.
5. The source of funding for purchase is 80% (eighty
percent) from one of Government-owned banks and the
balance comes from internal finance.

the provisions stipulated in the MOA.

It is expected that, by operating the Mother Vessel, it can
increase/boost income of the Company.
Business Continuity
Business continuity is maintained and well guaranteed.
Other Remarks
Based on the transaction value above, this transaction is not
categorized as material transaction, since the transaction
value is not more than 20% of the Company's equity value as
stated in the Company Audited Financial Report for the 2022
Fiscal Year.
