Sebagian Saham Tresuri PT Bank BTPN Syariah
Tbk (“Perseroan”)

Sebagaimana — telah disampaikan — pada
Keterbukaan Informasi sebagaimana disebutkan
diatas, Perseroan telah melaksanakan
pengalihan sebagian dari saham tresuri tersebut
sebagai bagian dari pelaksanaan pemberian
remunerasi yang bersifat variable untuk Direksi
atas kinerja Perseroan untuk tahun buku 2020,
2021 dan 2022 sebagai berikut :

1. Pengalihan Sebagian Saham Treasuri
Pengalihan Sebagian Saham  Treasuri
tersebut telah dilakukan di luar Bursa Efek
Indonesia dengan melakukan
pendistribusiaan langsung kepada pihak
yang berhak atas remunerasi yang bersifat
variable yang ditangguhkan (Deferred
Bonus) atas kinerja Perseroan untuk tahun
buku 2020, 2021 dan 2022 memperhatikan
Pasal 24 Peraturan Otoritas Jasa Keuangan
No.30/POJK.04/2017 tentang Pembelian
Kembali — Saham — yang Dikeluarkan
Perusahaan Terbuka (“POJK 30/2017”)
sesuai pasal 49 Peraturan Otoritas Jasa
Keuangan Nomor 29 tahun 2023 tanggal
29 Desember 2023 tentang Pembelian
Kembali Saham yang Dikeluarkan
Perusahaan Terbuka (“POJK 29/2023”)
yang mengatur ketentuan peralihan bagi
Perusahaan — Terbuka — yang telah
memperoleh persetujuan Rapat Umum
Pemegang Saham mengenai pembelian

Description of Information or Material Facts:

Referring to the Disclosure of Information
dated January 10, 2024 concerning the Plan to
Transfer a Portion of the Treasury Shares of
PT Bank BTPN Syariah Tbk (The Company)

As stated in the Disclosure of Information
aforesaid, the Company has carried out the
transfer of a portion of the treasury shares as
part of the implementation of variable
remuneration for the Board of Directors for the
Company performance for the 2020, 2021
and 2022 financial year as follows :

1. Transfer of a Portion of the Treasury
Shares
The transfer of a portion of the treasury
shares was conducted outside the
Indonesia Stock Exchange by using direct
distribution to the parties entitled to the
deferred variable remuneration (Deferred
Bonus) over the performance of the
Company for the financial year of 2020,
2021 and 2022 as referred to in Article 24
Of the Regulation of the Financial Services
Authority — Number 30/POJK.04/2017
regarding the Buy Back of Share Issued by
the Public Companies referring to Article
49 of the Regulation of the Financial
Services Authority Number 29 year 2023
dated 29 December 2023 regarding the
Buy Back of Share Issued by the Financial
Public Companies ('POJK 29/2023”)
which regulates the transition provisions
for Public Companies that have obtained
approval from the General Meeting of
Shareholders regarding share buybacks
and/or are within the implementation
period for the transfer of shares resulting
from the buyback before POJK 29/2023
comes into force, then they will continue

Pihak-pihak yang telah menerima alokasi
dan pendistribusian sebagian Saham
Treasuri Perseroan (“Pihak Penerima”)
yang merupakan komponen remunerasi
yang bersifat variable yang ditangguhkan
(Deferred Bonus) atas kinerja Perseroan
untuk tahun buku 2020, 2021 dan 2022
untuk memenuhi Peraturan Otoritas Jasa
Keuangan Nomor 59/POJK.03/2017 tentang
Penerapan Tata Kelola dalam Pemberian
Remunerasi bagi Bank Umum Syariah dan
Unit Usaha Syariah adalah:

Anggota Direksi Perseroan dengan periode
masa jabatan 16 April 2020 sampai dengan
12 April 2023 (baik yang saat ini masih
menjabat maupun yang sudah tidak
menjabat) dengan memperhatikan
rekomendasi Komite Nominasi — dan
Remunerasi dan persetujuan Dewan
Komisaris melalui Risalah Rapat Dewan

Komisaris Perseroan Nomor
MOM.0O11/KOM/CSGC/X/2023 tanggal 12
Oktober 2023.

Bahwa pelaksanaan pembayaran

remunerasi yang bersifat variable kepada
anggota Direksi Perseroan adalah dengan
persetujuan tertulis dari Dewan Komisaris
melalui Notulen Rapat Nomor
MOM.O11/KOM/CSGC/X/2023 tanggal 12
Oktober 2023.

Adapun Pihak-Pihak yang menerima
sebagian Saham Treasury Perseroan
sebagai berikut :

a. Untuk kinerja tahun 2020, berdasarkan
Surat Individu tertanggal 21 April 2021,
maka harga saham yang digunakan
untuk mengkonversi nilai remunerasi
yang bersifat variabel yang ditangguhkan
(Deferred Bonus), adalah harga saham

The Parties Who Receiving the
Treasury Shares

The parties who have received the
allocation and distribution of a portion of
the Treasury Shares of the Company (the
"Recipient") which constitutes deferred
variable remuneration (Deferred Bonus)
over the performance of the Company for
the financial year of 2020, 2021 and 2022
to compiy with the Financial Services
Authority Regulation Number
59/POJK.03/2017 regarding the Application
Of Governance in the Providing of
Remuneration for Sharia Commercial
Banks and Sharia Business Units are:

Member of the Companys Board of
Directors with a term of office from April
16, 2020 to April 12, 2023 (both those
currently serving and those no longer
serving) taking into account the
recommendations of the Nomination and
Remuneration Committee and the approval
Of the Board of Commissioners through the
Minutes of Meeting of the Company's Board

of Commissioners number
MOM.O11/KOM/CSGC/X/2023 dated
October 12, 2023.

That the implementation of variable

remuneration payments to members of the
Company Board of Directors is subject to
written approval from the Board of
Commissioners through Minutes of Meeting
Number MOM.OLI/KOM/CSGC/X/2023
dated October 12, 2023.

Whereas the Parties who have received a
portion of the Treasury Shares of the
Company are as following:

a. For the performance in 2020, based on
the Individual Letter dated April 21,
2021, the share price used to convert
the deferred variable remuneration
value (Deferred Bonus), is the share
price on April 21, 2021, namely IDR

3.210,- per lembar saham,

b. Untuk kinerja tahun 2021, berdasarkan
Surat Individu tertanggal 21 April 2022,
maka harga saham yang digunakan
untuk mengkonversi nilai remunerasi
Yang bersifat variabel yang ditangguhkan
(Deferred Bonus), adalah harga saham
pada tanggal 21 April 2022, yaitu Rp
3.340,- per lembar saham.

c. Untuk kinerja tahun 2022, berdasarkan
Surat Individu tertanggal 12 April 2023,
maka harga saham yang digunakan
untuk mengkonversi nilai remunerasi
yang bersifat variable yang ditangguhkan
(Deferred Bonus), adalah harga saham
pada tanggal 12 April 2023, yaitu Rp.
2.220,- per lembar saham.

3. Waktu Pelaksanaan Pengalihan Saham

Treasuri

Pengalihan Sebagian Saham  Treasuri
Perseroan telah dilaksanakan pada tanggal
25 Januari 2024 sejumlah 373.100 (tiga
ratus tujuh puluh tiga ribu seratus) lembar
saham atau senilai Rp.1.218.656.000,- (satu
miliar dua ratus delapan belas juta enam
ratus lima puluh enam ribu Rupiah) yang
dialokasikan berdasarkan besaran
remunerasi yang bersifat variable yang
ditangguhkan (Deferred Bonus) atas kinerja
Perseroan untuk Tahun Buku 2020, 2021
dan 2022 sebagaimana telah dijelaskan
pada butir 2 diatas pada keterbukaan
informasi ini.

. Status Saham Treasuri — yang
dialokasikan kepada Pihak-Pihak Yang
Menerima

Saham Treasuri yang dialokasikan dan
distibusikan kepada Pihak Penerima
merupakan komponen remunerasi yang
bersifat variable yang ditangguhkan
(Deferred Bonus), dengan demikian pada
saat Saham Treasuri telah dialokasi dan
distribusikan pada tanggal 25 Januari 2024,
saham dimaksud tidak dikenakan Lock-up

Time of Implementation for the
Transfer of the Treasury Shares

The Transfer of some of the Companys
Treasury shares has been carried out on
January 25, 2024, in the amount of
373100 (three hundred seventy three
thousand one hundred) shares or in the
amount of Rp.1.218.656.000,- (one billion
two hundred eighteen million six hundred
fihy six thousand Rupiah) which will be
allocated based on the amount of deferred
variable remuneration (Deferred Bonus)
for the CompanyS performance for the
2020, 2021 and 2022 fiscal years as
explained in point 2 above in this
information disclosure.

Status of the Treasury Shares
allocated to the Recipients

The Treasury Shares that will be allocated
and distributed to the Recipient Party area
deferred variable remuneration component
(Deferred Bonus), therefore when the
Treasury Shares are allocated and
distributed on January 25, 2024, the
Shares in guestion will not be subject toa
Lock-up period, thus can be transacted

Period, dengan demikian dapat
ditransaksikan dan dipindahtangankan oleh
Pihak Penerima, baik melalui perdagangan di
Bursa Efek Indonesia dan/atau di luar Bursa
Efek.

. Jumlah Saham Tresuri Perseroan

setelah pengalihan saham

Dengan telah dilaksanakannya pengalihan
sebagian saham  treasuri Perseroan
sebagaimana dimaksud diatas maka jumlah
saham tresuri di Perseroan dari sebelumnya
616,100 lembar saham menjadi 243.000
lembar saham.

Atas sisa lembar saham dimaksud,
Perseroan akan melepaskan kembali sampai
dengan batas waktu holding period, sesuai
peraturan yang berlaku.

4. Dampak kejadian, informasi atau fakta material
tersebut terhadap kegiatan opersional, hukum,
kondisi keuangan, atau kelangsungan usaha
Emiten atau Perusahaan Publik / The impact of

Operational activity, legal, financial or business
continuity of the Issuer of Public Company

5. Keterangan lain-lain / other informations

. Number of Treasury Shares of the

Company after the transfer of share

Upon the implementation of the transfer of
some treasury shares of the Company
aforesaid, the number of treasury Shares in
the Company from 616,100 share to
243,000 shares.

For the remaining shares in guestion, the
Company will release them again until the
holding period deadline, in accordance
with the applicable regulations.
