adaroW 1 Tanggal Kejadian/ Date of 14 April 2026 April 149, 2026 Oceurrence 2 | Jenis Informasi atau Fakta Material/ | Penandatanganan Sale and Purchase Agreement antara Adaro Capital Limited Type of Information or Material Fact | (ACL?) dan pihak-pihak lainnya (bersama-sama sebagai “Para Penjual”) dan pembeli pihak ketiga (“Pembeli”), sehubungan dengan rencana penjualan saham- saham milik Para Penjual di Kestrel Coal Group Pty Ltd (“Kestrel”) kepada Pembeli (“SPA”) (“Rencana Transaksi”), termasuk waran-waran milik Para Penjual. Signing of ihe Sale and Purchase Agreement between Adaro Capital Limited (CACL") and other parties (collectively as the “Sellers”) and third party buyer (ihe “Buyer”), in connection with the proposed sale of'shares owned by the Sellers in Kestrel Coal Group Pty Ltd (“Kestrel”) to the Buyer (“SPA”) (“Planned Transaction”), including warrants owned by the Sellers. 3 | Uraian informasi atau Fakta Material | 1. Berdasarkan SPA, ACL (yang merupakan entitas anak yang dikendalikan / Details of information or Material oleh Perseroan) akan menjual seluruh saham Kestrel milik ACL sejumlah Facts 720.385.220 saham biasa yang telah disetor penuh dalam modal Kestrel atau setara dengan 47,995 dan waran milik ACL. Penyelesaian Rencana Transaksi akan dilaksanakan setelah dipenuhinya seluruh persyaratan pendahuluan sebagaimana disepakati oleh para pihak dalam SPA Pursuant to the SPA, ACL (which is a subsidiary controlled by the Company) will sell all of ACL's Kestrel shares in the amount of 720,385,220 fully paid- up ordinary shares in Kestrel or eguals to 47.996 and ACL's warrant. The Completion of the Planned Transaction will be carried out after the fullfillment ofall condition precedenis as agreed by the parties in the SPA. 2. Total nilai Rencana Transaksi terdiri atas: & Upfront cash consideration sebesar USD1.850 juta yang akan dibayarkan pada saat tanggal penyelesaian transaksi, dengan tunduk pada penyesuaian berdasarkan syarat dan ketentuan dalam SPA: dan & Contingent cash consideration sebesar maksimum total hingga USD550 juta yang akan dibayarkan tahunan selama periode lima tahun sejak tanggal penyelesaian transaksi, dengan ketentuan bahwa, untuk setiap tahun, pembayaran tersebut hanya dilakukan apabila rata-rata harga harian yang dipublikasikan untuk index Platts Premium Low Vol Hard Coking Coal FOB Australia (PLVHA00) dalam tahun penilaian melebihi batasan tertentu, Nilai Rencana Transaksi yang akan diperoleh ACL akan dihitung berdasarkan proporsi kepemilikan ACL di Kestrel. The total consideration of the Planned Transaction comprising. & An upfront cash consideration of USDI,850 million, payable on completion date, subject to adjustment pursuant to terms and conditions under the SPA, and &Acontingent cash consideration of up toa maximum of USD 550 million in aggregate, payable annually over a five-year period following completion, subject to the condition that, in any given year, the average (mean) published daily prices for the Platts Premium Low Vol Hard Coking Coal FOB Australia (PLVHA00) Index in the assessment year exeeeds a specified threshold. adaro The consideration of the Planned Transaction to be received by ACL shall be calculated based on ACL ' shares ownership proportion in Kestrel. 3. Tujuan Rencana Transaksi adalah untuk mendukung pelaksanaan strategi bisnis dan investasi Perseroan. The purpose of the Planned Transaction is to support the implementation of the Company's business and investment strategy: Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik / The Impact for such information or material facts lowards operational activities, legal, financial condition or business continuity of Issuer or Public Company Tidak ada dampak material yang merugikan terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Perseroan. There is no material adverse impact on the Company's operational activit legal, financial condition or business continuity. Keterangan lain-lain / Other information Penyelesaian Rencana Transaksi akan tunduk pada pemenuhan persyaratan- persyaratan pendahuluan. Perseroan akan senantiasa mematuhi ketentuan Peraturan OJK No. 17/POJK.04/2020 mengenai Transaksi Material dan Perubahan Kegiatan Usaha apabila nilai transaksi memenuhi ambang batas material yang ditetapkan. Selain itu, Rencana Transaksi ini bukan termasuk transaksi afiliasi sebagaimana dimaksud dalam Peraturan OJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan. The completion of the Planned Transaction will be subject to the fulfillment of the condition precedents. The Company will always comply with the provisions of OJK Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities if the transaction value meets the set material threshold. In addition, this Planned Transaction does not include affiliate transactions as referred to in OJK Regulation No. 42/POJK.04/2020 concerning Affiliate Transactions and Conflicts of Interest Transactions.
