Uraian Informasi atau Fakta Material IDD melakukan penerbitan saham baru sebanyak 5.100
lembar saham yang seluruhnya diambil oleh PT PT Anugerah
Inovasi Dektos (AID) dengan nilai Rp510.000.000, (at par).
Pasca transaksi ini, jumlah saham yang dimiliki NFCX pada
IDD adalah tetap sebanyak 2.550 lembar namun persentase
kepemilikannya terdilusi, dari sebelumnya 50,0% menjadi
25,0%.
Rincian struktur pemegang saham PT INOVA 2020 pasca
transaksi adalah sebagai berikut:
a. PT NFC Indonesia Tbk: 2.550 lembar saham
(25,0%)
b. Martin Suharlie: 2.040 lembar saham (20,0%)
c. PT 1 INTI Dot Com: 510 lembar saham (5,0%)
d. PT Anugerah Inovasi Dektos: 5.100 lembar saham
(50,0%)
Dampak kejadian, informasi atau fakta NFCX tidak lagi menjadi pihak pengendali dari IDD. Status IDD
material tersebut terhadap kegiatan berubah dari entitas anak menjadi entitas asosiasi dari NFCX.

pendapatan konsolidasian NFCX sebesar Rp1,2 triliun di
periode yang bersangkutan.

Description of Material Information or IDD issued 5,100 new shares, all of which were subscribed for

Rp510,000,000 at par value.
Following the transaction, NFCXs shareholding in IDD
remained unchanged at 2,550 shares; however, its ownership
interest was diluted from 50.0% to 25.0%.
The shareholding structure of PT INOVA 2020 following the
transaction is as follows:
PT NFC Indonesia Tbk: 2,550 shares (25.0%)
Martin Suharlie: 2,040 shares (20.0%)
PT 1 INTI Dot Com: 510 shares (5.0%)
PT Anugerah Inovasi Dektos: 5,100 shares (50.0%)
Impact of event, material information or NFCX is no longer the controlling shareholder of IDD.
facts towards Issuers or Public Accordingly, IDDs status has changed from a subsidiary to an
Company’s operational activities, legal, associate of NFCX. AID has become the new controlling
financial condition, or going concern shareholder of IDD.
The transaction has no material impact on the Companys
operational activities, legal condition, financial condition, or
business continuity.
For reference, IDD recorded revenue of Rp2.4 billion in 1H26,
representing only 0.2% of NFCXs total consolidated revenue
of Rp1.2 trillion during the same period.
