Tujuan didirikannya JES ini merupakan suatu bentuk kelanjutan
langkah Perseroan secara grup untuk fokus ke arah nature based
solutions yaitu tindakan-tindakan untuk menjaga, merawat secara
berkelanjutan termasuk isu terkait ESG dan emisi karbon.

Atas pendirian JES ini, EPN bersama-sama dengan SC maupun
HITZ, masing-masing telah melakukan penyetoran modal dalam
JES senilai:

Sumber dana yang digunakan untuk melakukan pembentukan
usaha patungan berasal dari penyetoran modal masing-masing

The Company hereby informs that a company owned by the
Company, namely PT Energia Prima Nusantara (“EPN”) together
with Sumitomo Corporation (“SC”) and Hitachi Zosen Corporation
(“HITZ”) established a joint venture company PT Jabar
Environmental Solutions (“JES”).

The establishment of JES had been stated through Deed of
Establishment No. 02 dated 16 January 2024, which was made
before Shella Falianti, SH, Notary in Jakarta (“Deed of
Establishment”). The Deed of Establishment has been approved
through the Decree of the Minister of Law and Human Rights of the
Republic of Indonesia No. AHU-0004197.AH.01.01.Tahun 2024
dated 17 January 2024.

JES will conduct business of power generation, as well as treatment
and disposal of non-hazardous waste and garbage.

The purpose of the establishment of JES is a follow up Company’s
step as a group to focus on nature-based solutions namely activities
on protection, sustainable preservation including issues related to
ESG and carbon emissions.

For the establishment of JES, EPN, together with SC and HITZ,
made capital participation in JES in the amount of:

The source of funds used to establish a joint venture comes from
the capital of each shareholder.
