atau Fakta Material sebagai berikut :
In order to comply with Financial Services Authority Regulation No. 31/POJK.04/2015
concerning Disclosure of Material Information or Facts by Issuers or Public Companies,
as most recently amended by POJK No. 45 of 2024 concerning the Development and
Strengthening of Issuers and Public Companies, we hereby, for and on behalf of PT

2. Uraian Informasi Perseroan dengan ini menyampaikan
Informasi kepada para pemegang saham
dan investor bahwa dalam rangka
mendukung pertumbuhan kegiatan
usaha Perseroan, manajemen Perseroan
berencana pendanaan melalui
penerbitan Surat Utang dengan nilai
pokok sebesar-besarnya
Rp20.000.000.000 (dua puluh miliar
Rupiah).
Rencana penerbitan Surat Utang
tersebut merupakan bagian dari strategi
Perseroan untuk memperoleh sumber
pendanaan alternatif di luar fasilitas
perbankan, sekaligus menyediakan
fleksibilitas pendanaan untuk
mendukung kebutuhan modal kerja
Perseroan.
Dana yang diperoleh dari penerbitan
Surat Utang akan digunakan untuk
modal kerja pada proyek-proyek
Perseroan yang memiliki tingkat
pengembalian investasi yang ditargetkan
minimal sebesar 3% (tiga persen) per
bulan secara neto, dengan tetap
memperhatikan prinsip kehati-hatian,
kelayakan proyek, profil risiko, serta
kemampuan Perseroan dalam
memenuhi kewajiban pembayaran Surat
Utang.
Untuk memberikan tambahan
perlindungan kepada pemegang Surat

Utang, Perseroan berencana
memberikan jaminan berupa aset milik
Perseroan.
Description of Information The Company hereby informs its
shareholders and investors that, in order
to support the growth of the Company’s
business activities, the Company’s
management plans to raise funding
through the issuance of Debt Securities
with a maximum principal amount of
Rp20,000,000,000 (twenty billion
Rupiah).
The proposed issuance of Debt Securities
forms part of the Company’s strategy to
obtain alternative sources of funding
beyond banking facilities, while providing
greater financing flexibility to support the
Company’s working capital requirements.
The proceeds from the issuance of the
Debt Securities will be utilized as working
capital for the Company’s projects, which
are targeted to generate a minimum net
return on investment of 3% (three
percent) per month, while taking into
consideration the principles of prudence,
project feasibility, risk profile, and the
Company’s ability to fulfill its payment
obligations under the Debt Securities.
To provide additional protection to the
Debt Securities holders, the Company
plans to provide collateral in the form of
assets owned by the Company.

3. Dampak kejadian, informasi atau fakta Rencana Perseroan dalam penerbitan
material tersebut terhadap kegiatan Surat Utang diharapkan dapat
operasional, hukum, kondisi keuangan, mendukung peningkatan aktivitas
atau kelangsungan usaha Emiten atau operasional dan perputaran modal kerja,
Perusahaan Publik serta pertumbuhan pendapatan
Perseroan.
Perseroan akan memastikan bahwa
penerbitan Surat Utang, penggunaan
dana, serta pengikatan aset sebagai
jaminan dilakukan sesuai dengan
ketentuan peraturan perundang-
undangan dan anggaran dasar Perseroan
yang berlaku.
Rencana penerbitan Surat Utang tidak
memberikan dampak negatif yang
material terhadap kelangsungan usaha
Perseroan.
Perseroan akan melakukan monitoring
secara berkala terhadap penggunaan
dana, kinerja proyek, arus kas, dan
kemampuan pembayaran kewajiban
Surat Utang untuk memitigasi potensi
risiko terhadap kondisi keuangan dan
kelangsungan usaha Perseroan.
The Impact of Such Events, Information, The Company’s plan to issue Debt
or Material Facts on the Operational Securities is expected to support the
Activities, Legal and Financial Conditions, enhancement of its operational activities
or Business Continuity of the Issuer or and working capital turnover, as well as
Public Company the growth of the Company’s revenue.
The Company will ensure that the
issuance of the Debt Securities, the
utilization of the proceeds, and the
pledge of assets as collateral are carried
out in accordance with the prevailing
laws and regulations and the Company’s
Articles of Association.

The proposed issuance of Debt Securities
is not expected to have any material
adverse impact on the Company’s
business continuity.
The Company will conduct periodic
monitoring of the utilization of proceeds,
project performance, cash flows, and the
Company’s ability to meet its obligations
under the Debt Securities in order to
mitigate potential risks to the
Company’s financial condition and
business continuity.
