Facts oleh Perseroan bersama dengan mitra usaha patungannya,

AUTOBACS SEVEN CO., LTD. (“AB7”), berencana untuk
mengakhiri perjanjian usaha patungan di antara mereka,
yaitu di PT Autobacs Indomobil Indonesia (“AI”).

One of the Company's subsidiaries, PT Central Sole Agency
(“CSA") which shares are 10096 effectively owned by the
Company together with its business partner, AUTOBACS SEVEN
CO., LTD. ("AB7"), intend to terminate the joint venture
agreement between them, namely in PT Autobacs Indomobil
Indonesia (“AN”).

5. Keterangan lain-lain

Selanjutnya, seluruh saham milik AB7 dalam All, yakni
sejumlah 2.940 lembar saham yang mewakili 49x dari
saham yang telah ditempatkan dan disetor dalam All,
dialihkan kepada CSA sejumlah 2.939 lembar saham yang
mewakili 48,984, dan kepada PT IMG Sejahtera Langgeng
(suatu anak perusahaan yang 99,994 sahamnya dimiliki oleh
Perseroan) yaitu sebanyak 1 lembar saham yang mewakili
0,027.

Subseguently, all af AB7's shares in All in the number of 2,940
shares representing 494 of the issued and paid-up shares in All
to be transferred to CSA in the number of 2,939 shares
representing 48.984, and to PT IMG Sejahtera Langgeng (a
sSubsidiary which 99.999 of its shares owned by the Company) in
the number of 1 share representing 0.025.
