sehubungan dengan adanya Penyelesaian Pengalihan Aset Pinjaman Bersyarat antara Perseroan dan PT
Bank SMBC Indonesia Tbk sebagai berikut:/ In accordance with the OJK Regulation Number 31/POJK.04/2015

Number 45 Year 2024 regarding The Development and Strengthening of Issuers and Public Companies and
Exchange Regulation No. I-E on Disclosure of Information (Decree of the Board of Directors of PT Bursa Efek
Indonesia No. Kep-00087/BEI/12-2025 dated December 12, 2025), we for and on behalf of PT Bank Tabungan
Negara (Persero) Tbk (the “Company”) hereby submit the following Information Report or Material Facts
regarding the following of the Completion of the Conditional Loan Assets Transfer between the Company and
PT Bank SMBC Indonesia Tbk:

Bank Tabungan Negara (Persero) Tbk yang telah
diumumkan melalui website Perseroan dan website
Bursa Efek Indonesia pada tanggal 25 Mei 2026.
2. Berdasarkan butir 1 di atas, Perseroan telah
menjelaskan bahwa SMBCI selaku penjual dan
Perseroan selaku pembeli, telah menandatangani
Perjanjian Pengalihan Aset Pinjaman Bersyarat
(Conditional Loan Asset Transfer Agreement atau
“CLATA”). Di mana berdasarkan CLATA, SMBCI
setuju untuk menjual dan mengalihkan, dan Perseroan
setuju untuk membeli dan menerima pengalihan Aset
Pinjaman sehubungan dengan pensiunan dan pra-
pensiunan dengan manfaat pensiun yang dikelola oleh
ASABRI dan dana pensiun lainnya serta karyawan
yang menerima pinjaman karyawan aktif, berdasarkan
ketentuan dalam CLATA (‘Transaksi CLATA”).
3. Penyelesaian Transaksi CLATA dilakukan dengan
tetap memperhatikan seluruh syarat dan ketentuan
dipenuhi oleh masing-masing Perseroan dan SMBCI
sebagaimana diatur dalam CLATA.
Description of Information or Material 4. Bahwa seluruh persyaratan pendahuluan terkait
Facts. CLATA telah terpenuhi atau dikesampingkan. Oleh
karena itu, pada tanggal 14 Agustus 2026, Perseroan
dan Penjual menandatangani akta pengalihan (cessie)
di hadapan notaris untuk melaksanakan pengalihan
Aset Pinjaman, dan Perseroan telah membayar harga
pembelian Aset Pinjaman kepada Penjual dalam
rangka transaksi pengalihan Aset Pinjaman
berdasarkan CLATA./
1. With reference to the Information Report or Material
Facts of PT Bank Tabungan Negara (Persero) Tbk,
which was announced on the Company’s website and
the Indonesia Stock Exchange’s website on 25 May
2026.
2. Based on item 1 above, the Company has explained
that SMBCI, as the seller, and the Company, as the
buyer, have entered into a Conditional Loan Asset
Transfer Agreement (the “CLATA”). Pursuant to the
CLATA, SMBCI agreed to sell and transfer, and the
Company agreed to purchase and accept, the Loan
Assets relating to pensioners and pre-pensioners
whose pension benefits are managed by ASABRI and
other pension funds, as well as employees who are
receiving active employee loans, in accordance with
the terms and conditions set forth in the CLATA (the
“CLATA Transaction”).

3. The completion of the CLATA Transaction was carried
out upon the fulfillment of all terms and conditions by
the Company and SMBCI, respectively, as stipulated
in the CLATA.
4. That all conditions precedent relating to the CLATA
have been fulfilled or waived. Accordingly, on 14
August 2026, the Company and the Seller executed a
deed of assignment (cessie) before a notary to effect
the transfer of the Loan Assets, and the Company has
paid the purchase price of the Loan Assets to the Seller
in connection with the transfer of the Loan Assets
transaction pursuant to the CLATA.
4. Dampak kejadian, informasi atau fakta Dampak dari fakta material tersebut adalah akan

operasional, hukum, kondisi keuangan, kredit, yang diproyeksikan dapat membawa pengaruh

constitute an affiliated transaction and does not involve
any conflict of interest as referred to under OJK
Regulation No. 42/POJK.04/2020 concerning Affiliated
Transactions and Conflict of Interest Transactions.
