Perseroan telah menandatangani Perjanjian Kredit
dengan PT Bank ICBC Indonesia ("1CBC").

The Company has signed loan agreement with PT
Bank ICBC Indonesia (1CBC”).

Description of Material Information or Facts

Pada tanggal 9 Januari 2024, Perseroan telah
menandatangani Perjanjian Kredit dengan ICBC
dengan fasilitas sebagai berikut:

# Fasilitas L/C atau local LIC dalam negeri
(SKBDN — Surat Kredit Berdokumen Dalam
Negeri)

e Fasilitas Trust Reciept

# Fasilitas UPAS/UFAM

Fasilitas-fasilitas tersebut dapat digunakan dalam
mata uang Dolar Amerika Serikat (USD), Rupiah (Rp.)
dan Renminbi (CNY).

e Account Receivable Financing/ARF dalam
mata uang Rupiah

Total fasilitas tidak melebihi USD 3.000.000,00 dan
maksimum sub limit untuk Account Receivable
Financing/ARF sebesar USD 500.000,00.

On 9 January 2024, The Company has signed loan
agreement with ICBC with following facilities:

These facilities might be withdrawn in US Dollar
(USD), Rupiah (Rp.) and Renminbi (CNY)

# Account Receivable Financing/ARF in
Rupiah

Total facility should not exceed USD 3,000,000.00 and
maximum sub limit for Account  Receivable
Financing/ARF amounting to USD 500.000,00.

Tujuan fasilitas kredit tersebut adalah untuk
membiayai modal kerja Perseroan dan invoice
pelanggan Perseroan.

The purpose of this credit facility is to finance the
Company's working capital and the Company's
Suppliers' invoice.

Jangka waktu perjanjian adalah 1 tahun terhitung
sejak tanggal 9 Januari 2024.

Duration of the agreement is 1 year since January 9,
2024.

Dampak kejadian, informasi atau fakta material
tersebut terhadap kegiatan operasional, hukum,
kondisi keuangan, atau kelangsungan usaha Emiten
atau Perusahaan Publik /

The impact of these material events, information or
facts on the operational activities, law, financial
condition, or business continuity of the Issuer or
Public Company

Fasilitas kredit yang diperoieh oleh Perseroan akan
digunakan untuk keperluan modal kerja Perseroan.
Fasilitas kredit tersebut akan meningkatkan likuiditas
Perseroan dalam membiayai pembelian persedian
kepada supplier serta memberikan fleksibilitas kepada
Perseroan dalam upaya mengoptimalkan peluang
bisnis yang ada termasuk memenuhi permintaan yang
meningkat ke depannya.

The credit facility obtained by the Company will be
used for working capital purposes. The credit facility
will increase the Company's liguidity to finance
inventories purchase from suppliers and provide
Hexibility to the Company in optimizing existing
business opportunities, including meeting increasing
demands in the foreseeable future.

Nilai keseluruhan Transaksi adalah lebih rendah dari
20 (dua puluh persen) dari ekuitas Perseroan
berdasarkan laporan keuangan auditan Perseroan
tanggal 31 Desember 2022 sebagaimana diatur dalam
Peraturan OJK No. 17/POJK.04/2020 tentang

Transaksi Material dan Perubahan Kegiatan Usaha
("POJK No.17/2020"). Dengan demikian Transaksi ini
bukan merupakan Transaksi Material sebagaimana
dimaksud dalam POJK No. 17/2020.

The total value of the Transaction is lower than 2076
(twenty percent) of the Companyy's eguity based on the
Company's audited financial reports as at December
31, 2022, as stipulated in OJK Regulation No.
17/POJK.04/2020 concerning Material Transactions
and Changes in Business Activities ("POJK
No.17/2020"). Thus, this Transaction, is not a Material
Transaction as referred to in POJK No, 17/2020.

Transaksi ini bukan merupakan Transaksi Afiliasi
sebagaimana diatur dalam Peraturan OJK No.
42IPOJK.04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan mengingat tidak
adanya hubungan afiliasi antara Perseroan selaku
debitur dengan ICBC selaku kreditur dan transaksi
tersebut tidak mengandung benturan kepentingan.

This transaction is not an Affiliated Transaction as
stipulated in OJK Regulation No. 42/POJK.04/2020
concerning Transaction of Afffliation and Transaction
of Conflict of Interest considering that there is no
affliation relationship between the Company as the
debtor and ICBC as the creditor, and this transaction
does not contain any conflicts of interest.
