 Uraian Informasi atau Fakta Material     Perseroan merujuk pada surat Perseroan (i) No.
                                          011/MDLNCORSEC/IV/26 tanggal 30 April 2026); dan (ii)
                                          No.016/MDLN-CORSEC/VI/26 perihal Laporan Informasi atau
                                          Fakta Material, yang telah diterbitkan sebelumnya.

                                          Perseroan dengan ini memberitahukan bahwa Perseroan
                                          (dan/atau melalui Modernland Overseas Pte. Ltd. (MLO)) telah
                                          mengumumkan usulan scheme of arrangement (dan dokumen
                                          terkait lainnya), yang mana tujuan akhir atas implementasi
                                          scheme of arrangement ini adalah untuk melakukan
                                          penyelesaian Guaranteed Senior Notes due April 30, 2027
                                          secara menyeluruh.

                                          Voting atas usulan scheme of arrangement oleh para
                                          pemegang Notes adalah sampai tanggal 24 Agustus 2026,
                                          yang mana apabila usulan tersebut diterima oleh mayoritas
                                          pemegang Notes, maka hasil voting dan usulan scheme of
                                          arrangement tersebut akan dimohonkan kepada Pengadilan
                                          Tinggi Singapura guna
                                          mendapatkan sanction.

                                          Perseroan akan menyampaikan keterbukaan informasi atas
                                          perkembangan material lebih lanjut sesuai dengan ketentuan
                                          yang berlaku.
 Dampak kejadian, informasi atau fakta    Sampai dengan tanggal keterbukaan informasi ini, Perseroan
 material tersebut terhadap kegiatan      berpendapat belum ada dampak material terhadap kegiatan
 operasional, hukum, kondisi keuangan,    operasional, hukum, kondisi keuangan maupun kelangsungan
 atau kelangsungan usaha Emiten atau      usaha Perseroan, kecuali sebagaimana telah diungkapkan

                                          Namun demikian, Perseroan berpendapat scheme of

                                          dilaksanakan.

Pengumuman mengenai usulan scheme of arrangement hanya semata-mata untuk kepentingan keterbukaan informasi
berdasarkan peraturan OJK, dan tidak dimaksudkan untuk, dan bukan merupakan suatu penawaran umum, penawaran
terbatas atau private placement di Indonesia berdasarkan Undang-Undang No. 8 Tahun 1995 tentang Pasar Modal,
sebagaimana telah diubah sebagian, termasuk namun tidak terbatas pada melalui Undang-Undang No. 4 Tahun 2023
tentang Pengembangan dan Penguatan Sektor Keuangan, dan peraturan pelaksana lainnya, termasuk namun tidak

                                               Fact Report, as previously disclosed.

                                               The Company hereby informs that the Company (and/or
                                               through Modernland Overseas Pte. Ltd. (MLO)) has launched
                                               the proposed scheme of arrangement (and other related
                                               documents), the ultimate objective of the implementation of
                                               which is to fully settle the Guaranteed Senior Notes due April
                                               30, 2027.

                                               The voting on the proposed scheme of arrangement by the
                                               Noteholders will remain open until 24 August 2026. If the
                                               proposed scheme of arrangement is approved by the majority
                                               of the Noteholders, the voting results and the proposed
                                               scheme of arrangement will be submitted to the High Court of
                                               Singapore to obtain sanction.
