Perseroan telah melaksanakan pembelian kembali
saham berpedoman dalam Peraturan Otoritas Jasa
Keuangan No.30/POJK.04/2017 tentang Pembelian
Kembali Saham yang Dikeluarkan Perusahaan

keputusan Rapat Umum Pemegang Saham Luar Biasa
yang telah diselenggarakan pada tanggal 2
September 2019 (Lampiran 1)

Pelaksanaan Pengalihan yang pertama, kedua
dan ketiga atas sebagian Saham Treasuri
Perseroan

Merujuk kepada POJK No.30/2017 terkait waktu
pengalihan saham hasil pembelian kembali maka
Perseroan telah memenuhi ketentuan dengan telah
melaksanakan pengalihan saham hasil pembelian
kembali sejak selesainya proses pembelian kembali
saham di 23 Oktober 2019.

Perseroan telah melaksanakan pengalihan saham
yang pertama, kedua dan ketiga:
a. Pengalihan yang pertama atas sebagian saham

The Company has carried out the Repurchase of
Shares of the Company referred to Regulation of
Finandal Services Authority No.30/POJK.04/2017
regarding the Repurchase of Shares Issued by Public
Company

('POJK No. 30/2017”), based on the resolution of
the Ektraordinary General Meeting of Shareholders
convened on September 2, 2019 (Appendix 1).

Explanation regarding the implementation of
the first, second and third transfers of some of
the Company 's Treasury Shares

Referring to POJK No.30/2017 regarding the timing of
the transfer of shares resulting from the buyback, the
Company has fulfilled the provisions out the transfer
Of shares resulting from the buyback from the
completion of the share buyback process on October
23, 2019.

Rencana Pengalihan Saham yang keempat atas

Perseroan berencana melakukan alokasi dan
distribusi kembali sebagian dari Saham Treasuri
sebagai bagian pemberian remunerasi yang bersifat
variable yang ditangguhkan (Deferred Bonus) kepada
Direksi atas kinerja Perseroan untuk tahun buku
2020, 2021 dan 2022 (Lampiran 5) dengan detail
sebagai berikut :

Sebagian Saham Treasuri

Pengalihan Sebagian Saham Treasuri dilakukan
di luar Bursa Efek dengan melakukan

pendistribusian langsung kepada pihak yang
berhak atas remunerasi yang bersifat variable
yang ditangguhkan (Deferred Bonus) atas kinerja
Perseroan untuk tahun buku 2020, 2021 dan
2022 sebagaimana dimaksud dalam Pasal 24
POJK No. 30/2017.

Pihak-pihak yang akan menerima alokasi dan
pendistribusian sebagian Saham  Treasuri
(“Pihak Penerima”) yang merupakan
komponen remunerasi yang bersifat variabel
yang ditangguhkan (Deferred Bonus) atas kinerja
Perseroan untuk tahun buku 2020, 2021 dan
2022 untuk memenuhi POJK No.59/2017 adalah

The number of Treasury Shares with the first, second
and third transfers carried out (Position per
December 31, 2023):
- Initially amounting to 2,500,000 (two million
five hundred) shares,
- Total that has been transferred is 1,883,900
- Remaining Total Shares: 616,100 (Six Hundred
Sixteen Thousand One Hundred) shares.

The fourth share Transfer plan for some of the
Company 5 Treasury Shares

The Company plans to allocate and redistribute a
portion of its Treasury Shares as part of providing
deferred variable remuneration (Deferred Bonus) to
the Board of Directors for the Companys
performance for the 2020, 2021 and 2022
(Appendix 5) financial years as follows:

1. Transfer of Part of the Company's Treasury
Shares

The transfer of some Treasury Shares is carried
out outside the Stock Exchange by distributing it
directly to parties entitled to deferred variable
remuneration (Deferred Bonus) for the Company's
performance for the 2020, 2021 and 2022
financial years as referred to in Article 24 POJK
No. 30/2017.

2. Parties Who Will Receive the Company's
Treasury Shares

The parties who will receive the allocation and
distribution of a portion of the Treasury Shares
("Recipient Parties") which are components of
deferred variable remuneration (Deferred Bonus)
for the Company's performance for the 2020,
2021 and 2022 financial years to comply with
POJK No.59/2017 are:

Anggota Direksi Perseroan dengan periode masa
jabatan 16 April 2020 sampai dengan 12 April
2023 (baik yang saat ini masih menjabat maupun
yang sudah tidak menjabat)

dengan memperhatikan rekomendasi Komite
Nominasi dan Remunerasi dan persetujuan
Dewan Komisaris melalui Risalah Rapat Dewan
Komisaris Perseroan Nomor
MOM.011/KOM/CSGC/X/2023 tanggal 12 Oktober
2023.

Ketentuan pelaksanaan pembayaran
remunerasi yang bersifat variabel

Bahwa pelaksanaan pembayaran remunerasi
yang bersifat variabel kepada anggota Direksi
Perseroan adalah dengan persetujuan tertulis
dari Dewan Komisaris melalui Notulen Rapat
Nomor MOM.O11/KOM/CSGC/X/2023 tanggal 12
Oktober 2023.

Hal ini sesuai hasil keputusan Rapat Umum
Pemegang Saham Luar Biasa tanggal 2
September 2019 yang memutuskan bahwa
pelaksanaan pembelian kembali saham dalam
rangka pemberian remunerasi yang bersifat

variabel kepada Anggota Direksi Perseroan,
demikian pula pelaksanaan pembayaran
remunerasi yang bersifat variabel tersebut harus
dengan persetujuan tertulis dari Dewan
Komisaris.

Ketentuan harga saham pada saat
pengalihan:

a. Untuk kinerja tahun 2020, berdasarkan Surat
Individu tertanggal 21 April 2021, maka harga
saham yang digunakan untuk mengkonversi
nilai remunerasi yang bersifat variabel yang
ditangguhkan (Deferred Bonus), adalah harga
saham pada tanggal 21 April 2021, yaitu
Rp.3.210,- per lembar saham,

b. Untuk kinerja tahun 2021, berdasarkan Surat
Individu tertanggal 21 April 2022, maka harga
saham yang digunakan untuk mengkonversi
nilai remunerasi yang bersifat variabel yang
ditangguhkan (Deferred Bonus), adalah harga
saham pada tanggal 21 April 2022, yaitu
Rp.3.340,- per lembar saham,

Directors is subject to written approval from the
Board of Commissioners through Minutes of Meeting

This is in accordance with the results of the decision
Of the Extraordinary General Meeting of Shareholders
on September 2, 2019 which decided that the
implementation of share buybacks in the context of
providing variable remuneration to members of the
Company's Board of Directors, as well as the
implementation of variable remuneration payments

For the performance in 2020, based on the

For the performance in 2021, based on the
Individual Letter dated April 21, 2022, the share

ribu seratus) lembar saham yang akan
dialokasikan berdasarkan besaran remunerasi
yang bersifat variabel yang ditangguhkan
(Deferred Bonus) atas kinerja Perseroan untuk
Tahun Buku 2020, 2021 dan 2022 sebagaimana
telah dijelaskan pada butir 2 diatas pada
keterbukaan informasi ini.

Status Saham Treasuri yang dialokasikan
kepada Pihak Penerima

Saham Treasuri yang akan dialokasikan dan
distibusikan kepada Pihak Penerima merupakan
komponen remunerasi yang bersifat variabel
yang ditangguhkan (Deferred Bonus), dengan
demikian pada saat Saham Treasuri dialokasi dan
distribusikan pada tanggal 25 Januari 2024,
saham dimaksud tidak akan dikenakan Lock-up
Period, dengan demikian dapat ditransaksikan
dan dipindahtangankan oleh Pihak Penerima,
baik melalui perdagangan di Bursa Efek
Indonesia dan/atau di luar Bursa Efek:

The transfer of some of the Company's Treasury
Shares will be carried out on January 25, 2024 in
the amount of 373,100 (three hundred seventy-
three thousand one hundred) shares which will
be allocated based on the amount of deferred
variable remuneration (Deferred Bonus) for the
Company'5s performance for the 2020, 2021 and
2022 Fiscal Years as explained in point 2 above
In this information disclosure

Status of the Company's Treasury Shares
allocated to the Recipient Party

The Treasury Shares that will be allocated and
distributed to the Recipient Party are a deferred
variable remuneration component (Deferred
Bonus), therefore when the Treasury Shares are
allocated and distributed on January 25, 2024,
the shares in guestion will not be subject to a
Lock-up Period, thus can be transacted and
transferred by the Recipient Party, either
through trading on the Indonesian Stock
Exchange and/or outside the Stock Exchange.

The remaining number of Treasury Shares after
the fourth transfer from the previous 616,100
Shares to 243,000 shares.

Atas sisa lembar saham dimaksud, Perseroan akan
melepaskan kembali sampai dengan batas waktu
holding period, sesuai peraturan yang berlaku.

For the remaining shares in guestion, the Company
will release them again until the holding period
deadline, in accordance with the applicable
regulations.
