Pada tanggal 9 April 2026, Perseroan
telah menandatangani akta jual beli
saham untuk menjual seluruh saham yang
dimilikinya dalam PT Multipro Paint
Indonesia ("MPI") yakni sebanyak
158.120 saham (sebesar 7 Yo
pemilikan dalam MPI) kepada
PT Pacific Dwiyasaputra, dengan nilai
transaksi sebesar Rp8.375.000.000,-
(“Transaksi”). Transaksi ini merupakan
bagian dari strategi Perseroan untuk
mengoptimalkan portofolio usaha.
4. Keterangan lain-lain:
a. Transaksi ini bukan merupakan
transaksi afiliasi sebagaimana diatur
dalam — Peraturan OJK No.
42/POJK.04/2020 tentang Transaksi
Afiliasi dan Benturan Kepentingan.
Transaksi ini juga bukan merupakan
transaksi yang mengandung benturan
kepentingan sebagaimana diatur

transaction value of IDR8,375,000,000.-
(“Transaction”). This Transaction forms

Dampak Kejadian, Informasi atau Fakta Material Tersebut Terhadap Kegiatan Operasional, — Hukum, Kondisi Keuangan atau Kelangsungan Usaha Perseroan: Setelah penyelesaian Transaksi, MPI tidak lagi menjadi entitas anak Perseroan dan, oleh karenanya tidak dikonsolidasi dalam Laporan Keuangan Perseroan. Tidak terdapat dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan atau keberlangsungan usaha Perseroan, mengingat kontribusi pendapatan MPI dibandingkan jumlah pendapatan konsolidasi Perseroan di tahun 2025 hanya berkisar 0,186. There is no material impact of the incident, the information or material fact to the activities of operational, legal or financial condition or the business continuity of the Company, considering that MPI's revenue contribution to the Company 's consolidated revenue in 2025 was only approximately 0. 1846.
