Pada tanggal 9 Agustus 2023 dan 19 Desember 2023, Perseroan telah melakukan keterbukaan
informasi kepada Otoritas Jasa Keuangan melalui: (i) Surat Nomor 096/CORP/9981/VIII/23
tertanggal 9 Agustus 2023; dan (ii) Surat Nomor 134/CORP/9981/XII/23 tertanggal 19 Desember
2023 (“Keterbukaan Informasi 19 Desember 2023”), yang memberitahukan bahwa:
On 9 August 2023 and 19 December 2023, the Company conducted disclosure information to
Otoritas Jasa Keuangan through: (i) Letter Number 096/CORP/9981/VIII/23 dated 9 August 2023;
and (ii) Letter Number 134/CORP/9981/XII/23 dated 19 December 2023 (“Disclosure
Information 19 December 2023”), informing:
PT Energia Prima Nusantara (“EPN”), perusahaan terkendali milik Perseroan telah melakukan
penandatanganan perjanjian pengambilan bagian sebagaimana diubah terakhir dengan
amandemen perjanjian pengambilan bagian (“Perjanjian”) dengan PT Supreme Energy dan PT
Supreme Energy Sriwijaya (“SES”), dimana EPN akan mengambil bagian saham-saham baru

dalam SES sebanyak 984.127 lembar saham baru atau setara dengan 49,6% dari total saham
yang dikeluarkan oleh SES kepada EPN dengan total nilai keseluruhan sebesar US$51.871.680.
PT Energia Prima Nusantara (“EPN”), a controlled entity of the Company entered into a
subscription agreement as lastly amended on amendment subscription agreement
(“Agreement”) with PT Supreme Energy and PT Supreme Energy Sriwijaya (“SES”), whereas
EPN will subscribe for new shares in SES with a total of 984,127 new shares or equivalent to
49.6% of the total shares issued by SES to EPN with a total value of US$51,871,680.
Sehubungan dengan informasi di atas, Perseroan dengan ini memberitahukan bahwa pada
tanggal 27 Desember 2023, penutupan transaksi telah terjadi karena seluruh persyaratan
pendahuluan (conditions precedent) dalam Perjanjian telah terpenuhi oleh masing-masing pihak
dan EPN telah menyelesaikan pembayaran dengan total nilai keseluruhan sebesar
US$51.871.503 kepada SES yang telah mengeluarkan saham baru dengan jumlah saham
sebagaimana diuraikan dalam Keterbukaan Informasi 19 Desember 2023.
In relation to the above information, The Company hereby informs that as of 27 December 2023,
the closing of the transaction has occurred as all conditions precedent in the subscription
agreement have been fulfilled by each party and EPN has made payment with the total amount
of US$51,871,503 to SES for issuing new shares as stipulated in Disclosure Information 19
December 2023.
Pada tanggal 3 Januari 2024, Kementerian Hukum dan Hak Asasi Manusia Republik Indonesia
telah mengeluarkan Surat Penerimaan Pemberitahuan Perubahan Anggaran Dasar. Dengan
demikian, EPN telah menjadi pemegang saham di SES dengan kepemilikan sebanyak 984.127
saham baru atau setara dengan 49,6% dari total saham yang dikeluarkan oleh SES.
On 3 January 2024, Ministry of Law and Human Rights issued the Letter of Receipt of Notification
of the Amendment to the Article of Articles of Association. Therefore, EPN becomes a shareholder
in SES holding 984,127 new shares or equivalent to 49.6% of the total issued shares in SES.
