Uraian Informasi atau Fakta Material Perseroan telah mendirikan Entitas Anak Perseroan yang
diberi nama PT Asha Dhianta Corpora yang bergerak dibidang
perdagangan. Pendirian Entitas Anak Perseroan tersebut telah
dinyatakan di dalam Akta Pendirian PT. Asha Dhianta Corpora
Nomor 52 tanggal 17 Maret 2026 yang dibuat di hadapan
Notaris Miki Tanumiharja, S.H., M.Kn, yang telah
mendapatkan Pengesahan Pendirian Badan Hukum
Perseroan Terbatas Berdasarkan Keputusan Menteri Hukum
Republik Indonesia Nomor AHU-0024912.AH.01.01.TAHUN
2026 tanggal 01 April 2026.
Modal dasar PT Asha Dhianta Corpora berjumlah Rp
4.000.000.000,- (empat miliar Rupiah) terbagi atas 40.000
(empat puluh ribu) saham, masing masing saham bernilai
nominal Rp 100.000,- (Seratus Ribu Rupiah). Dari modal dasar
tersebut telah ditempatkan dan disetor 25% (dua puluh lima
persen) atau sejumlah 10.000 (sepuluh ribu) saham dengan
nilai nominal seluruhnya sebesar Rp 1.000.000.000,- (satu
miliar Rupiah)
Komposisi kepemilikan saham PT Asha Dhianta Corpora:
PT Akasha Wira International Tbk : 9.999 lembar saham
(99,99%)
Hanjaya Limanto : 1 lembar saham (0,01%)
Total : 10.000 lembar saham (100%)
Bahwa berdasarkan laporan keuangan tahunan Perseroan
tahun buku 2025 yang telah diaudit, transaksi tersebut
memiliki nilai transaksi dibawah 20% (dua puluh persen) dari
ekuitas Perseroan, dengan demikian transaksi pembelian
saham tersebut tidak mencapai nilai yang material
sebagaimana dimaksud dalam Peraturan No.
17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha.
Dampak kejadian, informasi atau fakta Pendirian PT Asha Dhianta Corpora akan memberikan
material tersebut terhadap kegiatan dampak yang positif bagi Perseroan untuk menunjang
operasional, hukum, kondisi keuangan, kegiatan usaha Perseroan dan sebagai bagian dari rencana
atau kelangsungan usaha Emiten atau pengembangan usaha Perseroan.

Description of Material Information or The Company has established a subsidiary named PT Asha
Facts Dhianta Corpora engaged in trading activities. The
establishment of the Subsidiary is set forth in the Deed of
Establishment of PT Asha Dhianta Corpora No. 52 dated 17
March 2026, drawn up before Notary Miki Tanumiharja, S.H.,
M.Kn., and has obtained approval as a legal entity pursuant to
Decree of the Minister of Law of the Republic of Indonesia No.
AHU-0024912.AH.01.01. Year 2026 dated 1 April 2026.
The authorized capital of PT Asha Dhianta Corpora amounts
to Rp 4,000,000,000 (four billion Rupiah), divided into 40,000
(forty thousand) shares, each with a nominal value of Rp
100,000 (one hundred thousand Rupiah). Of the authorized
capital, 25% (twenty-five percent), or 10,000 (ten thousand)
shares, have been issued and fully paid, with a total nominal
share of Rp 1,000,000,000 (one billion Rupiah).
The shareholding composition of PT Asha Dhianta Corpora is
as follows:
PT Akasha Wira International Tbk : 9,999 shares (99.99%)
Hanjaya Limanto : 1 share (0.01%)
Total : 10,000 shares (100%)
Based on the Company's audited annual financial statements
for the financial year 2025, the transaction value is below 20%
(twenty percent) of the Company's equity. Therefore, the share
subscription transaction does not constitute a material
transaction as referred to in Financial Services Authority
Regulation No. 17/POJK.04/2020 concerning Material
Transactions and Changes in Business Activities.
