Tower, Lantai 38, Jl. Jenderal Sudirman Kav. 52-53, 12190,
DKI Jakarta, yang melakukan kegiatan usaha di bidang
pembangkit tenaga listrik.
The signing of the Deed of Sale and Purchase of Shares and
other transaction documents by PT Energi Infranusantara,
a subsidiary of the Company regarding the purchase of
496,645 (four hundred ninety-six thousand six hundred
forty-five) shares or representing 38.77% (thirty-eight point
seventy-seven percent) of all issued and paid-up shares of
PT Pembangunan Perumahan Energi issued and paid-up in
PT Inpola Meka Energi (hereinafter referred to as the
"Transaction"), a limited liability company established
based on the provisions of the laws and regulations of the
Republic of Indonesia, domiciled in South Jakarta, with its
head office at Equity Tower Building, 38th Floor, Jl. Jenderal
Sudirman Kav. 52-53, 12190, DKI Jakarta, which conducts
business activities in the field of power generation.
PT Energi Infranusantara (“EI”) adalah entitas anak
Perseroan yang merupakan perusahaan induk dan
pemegang saham untuk seluruh unit usaha-usaha
pembangkit tenaga listrik dan infrastruktur penyediaan
tenaga listrik di grup Perseroan.
PT Energi Infranusantara ("EI") is a subsidiary of the
Company, which is the holding company and shareholder for
all power generation and power supply infrastructure
business units in the Company's group.
PT Pembangunan Perumahan Energi (“PPE”) adalah
pemegang saham sebesar 38,77% (tiga puluh delapan koma
tujuh puluh tujuh persen) saham dalam PT Inpola Meka
Energi (“IME”) selaku pemegang konsesi Pembangkit Listrik
Tenaga Mini Hidro (PLTM) di Lau Gunung, Kabupaten Dairi,
Sumatera Utara. Penyedia Tenaga Listrik dengan kapasitas 2

x 5 Mega Watt. PLTM tersebut telah beroperasi sejak tanggal
21 Desember 2020.
PT Pembangunan Perumahan Energi ("PPE") is a shareholder
of 38.77% (thirty-eight point seventy-seven percent) shares
in PT Inpola Meka Energi ("IME") as the concession holder of
the Mini Hydro Power Plant (PLTM) in Lau Gunung, Dairi
Regency, North Sumatra. Electric Power Provider with a
capacity of 2 x 5 Mega Watts. The PLTM has been operating
since December 21, 2020.
Penandatanganan Akta Jual Beli Saham oleh dan antara EI
dan PPE merupakan kelanjutan dari penandatanganan
Perjanjian Pengikatan Jual Beli tertanggal 24 November 2023
yang dibuat di bawah tangan terkait dengan 100% (seratus
persen) saham dalam IME (”PPJB”).
The signing of the Deed of Sale and Purchase of Shares by
and between EI and PPE is a continuation of the signing of
the Condition of Sale and Purchase Agreement dated
November 24, 2023 made under the hands related to 100%
(one hundred percent) shares in IME ("CSPA").
Nilai Transaksi yang harus dibayar oleh EI kepada PPE untuk
Transaksi ini adalah sebanyak-banyaknya sebesar
Rp45.175.799.394,- (empat puluh lima miliar seratus tujuh
puluh lima juta tujuh ratus sembilan puluh sembilan ribu tiga
ratus sembilan puluh empat Rupiah), pembayarannya
tunduk pada ketentuan PPJB.
The Transaction Value to be paid by EI to PPE for this
Transaction is a maximum of Rp45,175,799,394,- (forty-five
billion one hundred seventy-five million seven hundred
ninety-nine thousand three hundred ninety-four Rupiah), the
payment is subject to the provisions of CSPA.
Baik Perseroan maupun EI tidak memiliki hubungan afiliasi
dengan PPE.
Neither the Company nor EI has any affiliation with PPE.
4. Dampak kejadian, informasi atau Pelaksanaan Transaksi berpotensi menambah aset dan
fakta material tersebut terhadap ekuitas Perseroan. Perseroan yakin bahwa pelaksanaan
kegiatan operasional, hukum, Transaksi akan memberikan dampak positif dan tidak
kondisi keuangan atau memberikan dampak negatif material yang dapat
kelangsungan usaha Perseroan mempengaruhi kegiatan usaha dan pertumbuhan Perseroan
secara material karena hingga saat ini Perseroan memiliki
