Uraian Informasi atau Fakta Material Pada tanggal 11 Desember 2023, PT Reswara Minergi
Hartama (RWA), salah satu anak usaha Perseroan, telah
menandatangani Amandemen Kesepakatan Bersama
Pemegang Saham PT Media Djaya Bersama (MDB) dengan
PT Inti Murni Kencana (IMK) ("Amandemen"), dimana
berdasarkan Amandemen tersebut, para pihak sepakat bahwa
keputusan dan kebijakan terkait pengendalian atas jalannya
operasiona serta penentuan imbal hasil dari MDB dan entitas
anaknya, akan ditentukan oleh IMK, melalui pengurus
perusahaan di MDB dan entitas anak, yang ditunjuk oleh IMK.
Para Pihak dalam Amandemen juga menyepakati bahwa
terhitung sejak tanggal sejak tanggal 29 Desember 2023, baik
RWA maupun Perseroan tidak lagi melakukan konsolidasi atas
MDB dan entitas anak dalam laporan keuangan keuangannya
untuk periode selanjutnya, seiring dengan beralihnya
pengendalian operasional, kebijakan dan penentuan imbal
hasil kepada IMK dari RWA.
Sebagai informasi, Perseroan tetap, melalui RWA, memiliki
50% saham yang ditempatkan dan disetor penuh dalam MDB.

Dampak kejadian, informasi atau fakta Proses ini tidak mengandung unsur transaksi antara
material tersebut terhadap kegiatan Perseroan dan/atau perusahaan yang dikendalikan oleh ABM
operasional, hukum, kondisi keuangan, (RWA) dengan pemegang saham MDB lainnya (IMK), serta
atau kelangsungan usaha Emiten atau tidak terdapat unsur benturan kepentingan sebagaimana diatur
Perusahaan Publik dalam peraturan perundang-undangan yang berlaku di
Indonesia.
Proses dekonsolidasi dilakukan semata-mata demi
kepentingan terbaik Perseroan, sehingga menurut pendapat
kami, tidak terdapat dampak merugikan yang bersifat material
atas kejadian ini terhadap operasional, hukum, kondisi
keuangan, atau kelangsungan usaha
Perseroan.

Description of Material Information or On December 11th 2023, PT Reswara Minergi Hartama
Facts (RWA), one of the COmpany's subsidiaies, executed an
Amandment to the Shareholders Agreement of PT Media
Djaya Bersama (MDB) with PT Inti Murni Kencana (IMK)
("Amendment"), where based on the Amendment, the parties
agree that decisions and policies related to the control of
operations and decision of financial outcome of MDB and its
subsidiaries, will be determined by IMK through MDB's (and its
subsidiaries) management, appointed by IMK.
The parties to the Amendment also agreed that as of
December 29th, 2023, both RWA and the Company will no
longer consolidate MDB and subsidiaries in their financial
statements for further period, in line with the transfer of
operational contro, policies and decision of financial outcome
to IMK from RWA.
The Company remains, through RWA, the owner of 50%
issued and paid-up shares of MDB.
Impact of event, material information or This process does not contain elements of transactions
facts towards Issuers or Public between the Company and/or companies controlled by ABM
Company’s operational activities, legal, (RWA) and other MDB shareholders (IMK), and there is no
financial condition, or going concern element of conflict of interest as regulated in the applicable
laws and regulations in Indonesia.
The deconsolidation process is conducted solely in the best
interest of the Company, hence in our opinion, there is no
material adverse effect resulting from this occurrence on the
Company's operation, legal matters, financial condition, or
business continuity.
