Jenis Informasi atau Fakta Material Hasil Pelaksanaan PMTHMETD
Uraian Informasi atau Fakta Material PMTHMETD ini dilakukan dalam rangka pemenuhan
komitmen Perseroan untuk melakukan konversi kewajiban
menjadi saham baru Perseroan kepada Bapak Tri Ramadi,
yang timbul akibat Perjanjian Pengikatan Pembelian Saham
tanggal 5 Januari 2019 yang dibuat oleh dan antara Perseroan
dan PT Jagakarsa Country Arena (JCA) sebagaimana telah
dialihkan berdasarkan Perjanjian Pengalihan tanggal 1
Oktober 2019 yang dibuat oleh dan antara (i) Bapak Tri
Ramadi sebagai penerima pengalihan; (ii) JCA sebagai pihak
yang mengalihkan; (iii) Perseroan, serta sesuai dengan
kesepakatan dalam Perjanjian Penyelesaian No.
19/BUV/VII/2023 tanggal 17 Juli 2023, yang dibuat di bawah
tangan oleh dan antara Perseroan dan Bapak Tri Ramadi, di
mana kewajiban Perseroan akan menjadi lunas pada saat
Bapak Tri Ramadi menerima saham baru dan dicatatkannya
saham baru hasil konversi dari kewajiban menjadi saham
Perseroan pada PT Bursa Efek Indonesia.
Dampak kejadian, informasi atau fakta Setelah pelaksanaan PMTHMETD, jumlah modal ditempatkan
material tersebut terhadap kegiatan dan modal disetor Perseroan meningkat menjadi sebanyak
operasional, hukum, kondisi keuangan, 20.590.473.213 (dua puluh miliar lima ratus sembilan puluh
atau kelangsungan usaha Emiten atau juta empat ratus tujuh puluh tiga ribu dua ratus tiga belas)
Perusahaan Publik lembar saham atau dengan nilai total nominal sebesar Rp
1.029.523.660.650 (satu triliun dua puluh sembilan miliar lima
ratus dua puluh tiga juta enam ratus enam puluh ribu enam
ratus lima puluh Rupiah).

Description of Material Information or PMTHMETD is carried out in the context of fulfilling the
Facts Company commitment to convert the obligations into new
shares of the Company to Mr. Tri Ramadi, which arises from
the Shares Purchase Agreement dated 5 January 2019 made
by and between the Company and PT Jagakarsa Country
Arena (JCA) as transferred based on the Transfer Agreement
dated 1 October 2019 made by and between (i) Mr. Tri Ramadi
as the transferee; (ii) JCA as the transferor; (iii) the Company,
and in accordance with the agreement in Settlement
Agreement No. 19/BUV/VII/2023 dated 17 July 2023, privately
made by and between the Company and Mr. Tri Ramadi, in
which the Company's obligations will be paid off when Mr. Tri
Ramadi receives the new shares and lists the new shares
converted from the obligations into shares of the Company on
the Indonesia Stock Exchange.
Impact of event, material information or After the implementation of PMTHMETD, the total issued and
facts towards Issuers or Public paid up capital of the Company increased to 20,590,473,213
Company’s operational activities, legal, (twenty billion five hundred ninety million four hundred seventy
financial condition, or going concern three thousand two hundred and thirteen) shares, or with a
total nominal value of IDR 1,029,523,660,650 (one trillion
twenty nine billion five hundred twenty three million six
hundred sixty six thousand and six hundred fifty Rupiah).
