B. Uraian mengenai Transaksi Afiliasi dan Transaksi material
1) Transaksi Afil
Perseroan tidak wajib melakukan prosedur Transaksi
Afiliasi sebagaimana dimaksud dalam Pasal 3 POJK-42
serta tidak wajib memenuhi ketentuan sebagaimana
dimaksud dalam Pasal 4 ayat (1) POJK-42 karena
transaksi tersebut termasuk dalam kategori Transaksi
Afiliasi yang dikecualikan oleh Pasal 6 ayat (1) huruf e
POJK-42.

Transaksi Material
Perseroan tidak wajib melakukan prosedur Transaksi
Material sebagaimana dimaksud dalam Pasal 6 ayat (1)
huruf a POJK-17 dan memperoleh persetujuan RUPS
sebagaimana dimaksud dalam Pasal 6 ayat (1) huruf d
POJK-17 terkait transaksi pemberian jaminan kepada
Bank oleh Perseroan atas pinjaman kredit ISA karena
termasuk dalam kategori Transaksi Material yang
dikecualikan oleh Pasal 11 ayat (1) huruf c POJK-17.
AA. Name of the party conducting the transaction and relationship with the company:
1) PT Intan Sejati Andalan (“ISA”)
AA limited company established under and based on the laws af Indonesian
state, domiciled in Medan, is a subsidiary of the entity PT Mutiara Unggul
Lestari ("MUL") fa subsidiary of the Company), with share ownership of
99.174.
2) PT Mahkota Group Tbk (“Company”)
The majority shareholder of MUL (9256) and ISA controller.
3) PT Bank Mandiri Tbk (“Bank”)
Neither the Company nor ISA have any dffiliation with the Bank, as reerred to
in the Capital Market Law (Law Number 8 of 1995 concerning Capital Market).
B. Description of Affiliate Transactions and material Transactions
1) Transaksi Afiliasi
The Company is not obliged to carry out Affiliate Transaction procedures as
intended in Article 3 POIK-42 and is not obliged to fulfill the provisions as
intended in Article 4 paragraph (1) POIK-42 because the transaction is included
in the Affiliate Transaction category which is excluded by Article 6 paragraph
(1) letter e POJK-42.
2) Transaksi Material
The Company is not obliged to carry out Material Transaction procedures as
intended in Article 6 paragraph (1) letter a POJK-17 and obtain GMS approval
Os intended in Article 6 paragraph /1) letter d POJK-17 regarding transactions
providing guarantees to the Bank by the Company for credit Ioans ISA because
it is included in the Material Transaction category which is excluded by Article
11 paragraph (1) letter c POJK-17.
4. | Dampak kejadian, informasi " Pemberian jaminan deposito ini tidak mempengaruhi
atau fakta material tersebut kegiatan operasional, hukum, kondisi keuangan, atau
