(PBM)
Uraian Informasi atau Fakta Material PBM, selaku kreditur yang menerima pengalihan (cessie) dari
para kreditur BLS sebelumnya atas tagihan yang lahir dari
fasilitas kredit yang diberikan kepada BLS oleh PT Bank QNB
Indonesia Tbk dan PT Bank Central Asia Tbk (Utang BLS
kepada PBM), telah mengirimkan Surat Pemberitahuan
Kelalaian dan Eksekusi Jaminan tanggal 9 November 2023
dimana berdasarkan default notice tersebut, PBM akan
melaksanakan haknya berdasarkan Akta Perjanjian Gadai
Saham No. 12 tanggal 25 Juli 2016, yang dibuat di hadapan
Sri Buena Brahmana, S.H., M.Kn., Notaris di Jakarta
(Perjanjian Gadai Saham), untuk menjual saham Perseroan di
BLS berdasarkan hak eksekusi sebagaimana diatur dalam
Perjanjian Gadai Saham.
Berdasarkan Akta Pengalihan Saham No. 105 tanggal 27
Desember 2023, yang dibuat di hadapan Humberg Lie, S.H.,
S.E., M.Kn., Notaris di Jakarta Utara, PBM telah melakukan
penjualan atas seluruh saham Perseroan di BLS sebanyak
216.000 (dua ratus enam belas ribu) saham yang mewakili
60% (enam puluh persen) dari keseluruhan saham yang
ditempatkan dan disetor penuh dalam BLS kepada PT
Rajawali Citra Bangsa dengan harga sebesar Rp
52.840.200.000 (lima puluh dua miliar delapan ratus empat
puluh juta dua ratus ribu Rupiah).

Dampak kejadian, informasi atau fakta 1. Utang BLS kepada PBM berkurang sesuai dengan
material tersebut terhadap kegiatan nilai eksekusi atas gadai saham;
operasional, hukum, kondisi keuangan, 2. Perseroan tidak lagi memiliki saham di dalam BLS
atau kelangsungan usaha Emiten atau sebagai akibat dari eksekusi atas gadai saham, sehingga
Perusahaan Publik Perseroan tidak lagi mengkonsolidasi BLS di laporan
keuangan Perseroan;
3. Perseroan tidak lagi menjadi pihak dalam Perjanjian
Gadai Saham dan dilepaskan dari seluruh kewajiban
pembayaran dan kewajiban lainnya yang lahir dari dokumen
pembiayaan atas Utang BLS kepada PBM.
4. Tidak dikonsolidasinya BLS ke dalam Perseroan tidak
menimbulkan dampak material yang signifikan bagi Perseroan.
Selain itu, dengan dilaksanakannya gadai saham tersebut,
maka akan meringankan kewajiban Perseroan dan
mengurangi liabilitas Perseroan, sehingga diharapkan ke
depannya kinerja keuangan Perseroan akan membaik.

Enforcement of pledge of the Companys shares in PT Bukit
Type of Material Information or Facts Lentera Sejahtera (BLS) by PT Permata Bintang Milenia
(PBM).
Description of Material Information or PBM, as the creditor receiving the assignment (cessie) from
Facts the previous creditors of BLS over claims arising from the
credit facility provided to BLS from PT Bank QNB Indonesia
Tbk and PT Bank Central Asia Tbk (BLS debt to PBM), has
sent a Notice of Default and Collateral Enforcement dated
November 9, 2023. Based on this default notice, PBM will
exercise its rights under the Deed of Shares Pledge (Akta
Perjanjian Gadai Saham) No. 12 dated 25 July 2016, drawn up
before Sri Buena Brahmana, S.H., M.Kn., a Notary in Jakarta
(Pledge of Shares Agreement), to sell the Companys shares in
BLS based on enforcement rights as stipulated under the
Pledge of Shares Agreement.
In accordance with the Share Transfer Deed (Akta Pengalihan
Saham) No. 105 dated 27 December 2023, drawn up before
Humberg Lie, S.H., S.E., M.Kn, a Notary in North Jakarta,
PBM has completed the sale of all of the Companys shares in
BLS, totaling 216,000 (two hundred sixteen thousand) shares,
representing 60% (sixty percent) of the total shares placed and
fully paid in BLS, to PT Rajawali Citra Bangsa at a price of Rp
52.840.200.000 (fifty two billion eight hundred forty million two
hundred thousand Rupiah).

Impact of event, material information or 1. BLS Debt to PBM is reduced in accordance with the
facts towards Issuers or Public enforcement value of the share pledge;
Company’s operational activities, legal, 2. As a result of the enforcement of the share pledge,
financial condition, or going concern the Company no longer hold shares in BLS therefore the
Company no longer consolidates BLS in its financial
statements;
3. The Company no longer a party under the Pledge of
Shares Agreement and shall be released from all of the
payment obligation and other obligations arising from the
finance documents of the BLS Debt to PBM;
4. The non-consolidation of BLS into the Company does
not have a materially significant impact. Furthermore, with the
enforcement of the share pledge, it will alleviate the Companys
obligations and reduce its liabilities, thus expecting an
improvement in the Company's financial performance in the
future.
