Uraian Informasi atau Fakta Material Telah dilakukan penandatanganan Akta Perjanjian Pemberian
Fasilitas Perbankan yang dibuat di hadapan Notaris Widawati,
S.H., M.Kn., Notaris di Kota Tangerang Selatan, dengan
Nomor Akta 2190 tertanggal 27 Desember 2023, antara PT
Citra Marga Nusaphala Persada Tbk (Perseroan) selaku
Debitur dengan PT Bank Capital Indonesia Tbk selaku
Kreditur. Perseroan mendapatkan fasilitas kredit dari Bank
Capital dengan syarat dan ketentuan sebagai berikut:
Struktur Fasilitas Kredit:
Fasilitas Kredit seluruhnya sebesar Rp600.000.000.000,-
(enam ratus miliar rupiah) dengan perincian sebagai berikut:
1. Jenis Fasilitas : Pinjaman
Rekening Koran (PRK)
Plafond : Rp50.000.000.000,- (Lima
puluh miliar Rupiah)
Suku Bunga : 13% p.a. (STR)
Jangka Waktu Fasilitas : 1 (satu) Tahun
Sejak Akad Kredit
2. Jenis Fasilitas : Pinjaman
Akseptasi Money Market (PA MM)
Plafond : Rp550.000.000.000,-
(Lima ratus lima puluh miliar Rupiah)
Suku Bunga : 13% p.a. (STR)
Jangka Waktu Fasilitas : 1 (satu) Tahun
Sejak Akad Kredit
Tujuan Penggunaan:
PRK dan PA MM: untuk membiayai pembangunan jalan tol Ir.
Wiyoto Wiyono, M.Sc Section Harbour Road II (Elevated) dari
Ancol Timur hingga Pluit sepanjang +/- 9,6 Km.
Jaminan Yang Diberikan:
1. Perjanjian Pengusahaan Jalan Tol Ruas Cawang-
Tanjung Priuk-Ancol Timur-Jembatan Tiga/Pluit No.
05/PPJT/VI/Mn/2007 dan No. 72/SPJK-HK.04/VI/2007 tanggal
05 Juni 2007 dan telah mengalami beberapa kali perubahan
dan perubahan terakhir tertuang dalam Perjanjian
Pengusahaan Jalan Tol (PPJT) No. 06 tanggal 23 Juni 2020
dan Amandemen I Perjanjian Pengusahaan Jalan Tol No. 22
tanggal 11 Mei 2021 yang berlaku s/d 31 Maret 2060 antara
PT Citra Marga Nusaphala Persada Tbk dengan Pemerintah
Republik Indonesia melalui Badan Pengatur Jalan Tol (BPJT)
atas ruas jalan tol Cawang-Tanjung Priok-Ancol Timur-
Jembatan Tiga/Pluit sepanjang 27,05 Km berikut seluruh
perubahan-perubahannya di kemudian hari (copy legalisir
notaris).
2. Seluruh pendapatan jalan tol atas Perjanjian
Pengusahaan Jalan Tol Ruas Cawang-Tanjung Priuk-Ancol
Timur-Jembatan Tiga/Pluit No. 05/PPJT/VI/Mn/2007 dan No.
72/SPJK-HK.04/VI/2007 tanggal 05 Juni 2007 dan telah
mengalami beberapa kali perubahan dan perubahan terakhir
tertuang dalam Perjanjian Pengusahaan Jalan Tol (PPJT) No.
06 tanggal 23 Juni 2020 dan Amandemen I Perjanjian
Pengusahaan Jalan Tol No. 22 tanggal 11 Mei 2021 yang
berlaku s/d 31 Maret 2060 antara PT Citra Marga Nusaphala
Persada Tbk dengan Pemerintah Republik Indonesia melalui
Badan Pengatur Jalan Tol (BPJT) atas ruas jalan tol Cawang-
Tanjung Priok-Ancol Timur-Jembatan Tiga/Pluit sepanjang
27,05 Km berikut seluruh perubahan-perubahannya di

kemudian hari, yang timbul sejak pemberian kredit sampai
dengan fasilitas kredit dinyatakan lunas.
Dampak kejadian, informasi atau fakta Memperkuat kondisi keuangan maupun keberlangsungan
material tersebut terhadap kegiatan usaha Perseroan.

Description of Material Information or A Deed of Agreement Providing Banking Facilities has been
Facts signed before Notary Widawati, S.H., M.Kn., Notary in South
Tangerang City, with Deed Number 2190 dated 27 December
2023, between PT Citra Marga Nusaphala Persada Tbk (the
Company) as the Debtor and PT Bank Capital Indonesia Tbk
as Creditor. The Company obtained credit facilities from Bank
Capital with the following terms and conditions:
Credit Facility Structure:
The total Credit Facility is IDR 600,000,000,000 (six hundred
billion rupiah) with the following details:
1. Facility Type : Current Account Loan (PRK)
Ceiling : IDR 50,000,000,000 (Fifty billion Rupiah)
Interest Rate : 13% p.a. (STR)
Facility Term : 1 (one) Year from Credit Agreement
2. Facility Type : Money Market Acceptance Loan (PA MM)
Ceiling : IDR 550,000,000,000 (Five hundred and fifty
billion Rupiah)
Interest Rate : 13% p.a. (STR)
Facility Term : 1 (one) Year from Credit Agreement
The intended use:
PRK and PA MM: to finance the construction of the Ir toll road.
Wiyoto Wiyono, M.Sc Section Harbor Road II (Elevated) from
East Ancol to Pluit is +/- 9.6 Km.
Guarantees Provided:
1. Cawang-Tanjung Priuk-Ancol Timur-Jembatan Tiga/Pluit
Toll Road Concession Agreement No. 05/PPJT/VI/Mn/2007
and No. 72/SPJK-HK.04/VI/2007 dated 05 June 2007 and has
undergone several amendments and the latest amendment is
contained in the Toll Road Concession Agreement (PPJT) No.
06 dated 23 June 2020 and Amendment I of Toll Road
Concession Agreement No. 22 dated 11 May 2021 which is
valid until 31 March 2060 between PT Citra Marga Nusaphala
Persada Tbk and the Government of the Republic of Indonesia
through the Toll Road Regulatory Agency (BPJT) for the
Cawang-Tanjung Priok-Ancol Timur-Jembatan Tiga/Pluit toll
road along 27 .05 Km along with all changes at a later date
(copy legalized by notary).
2. All toll road revenues from the Cawang-Tanjung Priuk-East
Ancol-Jembatan Tiga/Pluit Toll Road Concession Agreement
No. 05/PPJT/VI/Mn/2007 and No. 72/SPJK-HK.04/VI/2007
dated 05 June 2007 and has undergone several amendments
and the latest amendment is contained in the Toll Road
Concession Agreement (PPJT) No. 06 dated 23 June 2020
and Amendment I of Toll Road Concession Agreement No. 22
dated 11 May 2021 which is valid until 31 March 2060 between
PT Citra Marga Nusaphala Persada Tbk and the Government
of the Republic of Indonesia through the Toll Road Regulatory
Agency (BPJT) for the Cawang-Tanjung Priok-Ancol Timur-
Jembatan Tiga/Pluit toll road along 27 .05 Km along with all
changes in the future, which arise from the granting of credit
until the credit facility is declared paid off.
