tanggal 24 Oktober 2023 yang telah diperbaiki terakhir
dalam Keterbukaan Informasi tanggal 20 Desember
2023 (“Keterbukaan Informasi”) dan (ii) Persetujuan
pemegang saham Independen atas Rencana Transaksi
(sebagaimana yang didefinisikan dalam Keterbukaan
Informasi) dalam Rapat Umum Pemegang Saham Luar
Biasa Independen (“RUPSLB Independen”) yang
diperoleh pada tanggal 22 Desember 2023, bersama ini
kami sampaikan bahwa Perseroan dan PT. Sentralsari
Primasentosa telah menyelesaikan Transaksi pada
tanggal 22 Desember 2023 dengan uraian sebagai
berikut:

Berdasarkan Akta Berita Acara Rapat Umum Pemegang

Saham Luar Biasa PT Sentralsari Primasentosa No. 97

tanggal 22 Desember 2023, yang dibuat di hadapan

Anita Anggawidjaja, S.H Jalan Genteng Kali 77 A,

Surabaya, diputuskan antara lain sebagai berikut :

- Menyetujui Penyertaan saham baru oleh Perseroan
Terbatas PT Sariguna Primatirta Tbk sebanyak Rp.
180.000.000.000 (Seratus delapan puluh milyar)
dimana Rp. 80.000.000.000 (Delapan puluh milyar
merupakan agio saham.

- Menyetujui dan mengesahkan peningkatan modal
dasar Perseroan dari Rp. 80.000.000.000 (Delapan
puluh milyar) menjadi Rp.125.000.000.000 (Seratus
dua puluh lima milyar)

-' Menyetujui dan mengesahkan peningkatan modal
disetor/ditempatkan Perseroan dari Rp.
25.000.000.000 (dua puluh lima milyar) menjadi
sejumlah Rp.125.000.000.000 (Seratus dua puluh
lima milyar) yang disetor oleh : Perseroan Terbatas
PT. Sariguna Primatirta Tbk, tersebut diatas
sejumlah 100.000 saham (seratus ribu saham)
dengan nilai Nominal seluruhnya sebesar Rp.
100.000.000.000 (Seratus milyar)

Sehingga komposisi Pemegang Saham Perseroan PT
Sentralsari Primasentosa menjadi:
a. BELINDA NATALIA sebanyak 1.100 saham

dengan nominal seluruhnya sebesar Rp
1.100.000.000,-

b. PT TANCORP GLOBAL SENTOSA 23.900,-
dengan nominal seluruhnya sebesar Rp
23.900.000.000,-

c. PT SARIGUNA PRIMATIRTA, Tbk dengan
nominal seluruhnya sebesar Rp
100.000.000.000, -

Bahwa Akta Berita Acara Rapat Umum Pemegang
Saham Luar Biasa tersebut sedang dalam dalam proses
pendaftaran kepada Menteri Hukum dan Hak Asasi
Manusia Republik Indonesia./

By referring to: (i) the Information Disclosure dated
October 24, 2023 which was last amended in the
Information Disclosure dated December 20, 2023
("Information Disclosure”) and (ii) Independent
shareholders' approval of the Proposed Transaction (as
defined in the Information Disclosure) at the Independent
Extraordinary General Meeting of  Shareholders
(“Independent EGMS") obtained on December 22, 2023,
we hereby inform you that the Company and PT.
Sentralsari Primasentosa has completed the Transaction
on December 22, 2023 with the following description:
Based on the Deed of Minutes of the Extraordinary
General Meeting of Shareholders of PT Sentralsari
Primasentosa No. 97 dated December 22, 2023, drawn
up before Anita Anggawidjaja, S.H Jalan Genteng Kali
77 A, Surabaya, it was decided, among others, as
follows:

-  Approve the participation of new shares by the
Limited  Liability Company PT Sariguna
Primatirta Tbk in the amount of Rp.
180,000,000,000 (One hundred eighty billion) of
which Rp. 80,000,000,000 (Eighty billion is the
Share area.

-  Approve and ratify the increase in the
Company's authorized capital from Rp.
80,000,000,000 (Eighty billion) to
Rp.125,000,000,000 (One hundred twenty five
billion)

-  Approve and ratify the increase in the
Company's paid-up/issued capital from Rp.
25,000,000,000 (twenty-five billion) to a total of
Rp.125,000,000,000 (One hundred twenty-five
billion) paid up by: Limited Liability Company PT.
Sariguna Primatirta Tbk, above a total of
100,000 shares (one hundred thousand shares)
with 3 total nominal value of Rp.
100,000,000,000 (One hundred billion)

So that the composition of the Company's Shareholders
PT Sentralsari Primasentosa becomes:
a. BELINDA NATALIA totaling 1,100 shares with a
total nominal value of Rp 1,100,000,000,-
b. PT TANCORP GLOBAL SENTOSA 23,900 with a
total nominal value of Rp 23,900,000,000,-
c. PT SARIGUNA PRIMATIRTA, Tbk with a total
nominal value of Rp 100.000.000.000,-

That the Deed of Minutes of the Extraordinary General
Meeting of Shareholders is in the process of registration
with the Minister of Law and Human Rights of the
Republic of Indonesia.

Informasi tanggal 20 Desember 2023./

Information regarding the considerations, reasons and
impacts of the Transaction has been described by the
Company in the Information Disclosure dated October
24, 2023, which has been last corrected in the
Information Disclosure dated December 20, 2023.

5. (Keterangan lain-lain / Other
Information

Sehubungan dengan Transaksi, Perseroan telah
memperoleh persetujuan pemegang saham Independen
dalam RUPS Luar Biasa pada tanggal 22 Desember
2023 yang menyetujui agenda sebagai berikut:

(i) Persetujuan atas rencana penyertaan saham pada
PT Sentralsari Primasentosa ("SPS") dimana
Perseroan akan mengambil bagian atas saham baru
yang akan dikeluarkan oleh SPS, yang merupakan
suatu transaksi material berdasarkan Peraturan
Otoritas Jasa Keuangan No. 17/POJK.04/2020
tentang Transaksi Material dan Perubahan Kegiatan
Usaha dan juga merupakan transaksi afiliasi
berdasarkan Peraturan Otoritas Jasa Keuangan No.
42/POJK.04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan.

Selanjutnya, Perseroan telah mengumumkan ringkasan
risalah RUPS Luar Biasa melalui situs web Bursa Efek
Indonesia dan situs web Perseroan pada tanggal 27
Desember 2023./

In connection with the Transaction, the Company has
obtained Independent shareholder approval at the
Extraordinary GMS on December 22, 2023 which
approved the following agenda:

(i) Approval of the share participation plan in PT
Sentralsari Primasentosa ("SPS") where the Company
will take part in new shares to be issued by SPS, which
is a material transaction based on the Financial Services
Authority Regulation No. 17/POJK.04/2020 conceming
Material Transactions and Changes in Business
Activities and is also an affiliate transaction based on the
Financial — Services — Authority  Regulation — No.
42/POJK.04/2020 concerning Affiliate Transactions and
Conflict of Interest Transactions.

Furthermore, the Company has announced the summary
minutes of the Extraordinary GMS through the Indonesia
Stock Exchange website and the Company's website on
December 27, 2023.
