dengan ini kami informasikan bahwa :
1. modal ditempatkan dan disetor KNI
ditingkatkan sebesar Rp88.716.000.000
terbagi atas 88.716 saham baru, masing-
masing dengan nilai nominal Rp1.000.000
yang akan diambil bagian seluruhnya oleh
Ford;
2. Sebagai akibat dari penerbitan dan
pengambilan bagian saham baru tersebut,
maka struktur permodalan dan struktur
kepemilikan saham KNI menjadi sebagai
berikut :
a. Struktur Permodalan:
(i) modal dasar KNI sebesar
Rp3.820.000.000.000 terbagi atas
3.820.000 saham dengan nilai
nominal masing-masing saham
sebesar Rp1.000.000; dan
(ii) modal ditempatkan dan disetor
KNI Rp1.043.716.000.000
terbagi atas 1.043.716 saham
dengan nilai nominal masing-
masing saham sebesar
Rp1.000.000;
b. Struktur kepemilikan saham:
(i) HUAQI (SINGAPORE) PTE.
LTD., sebagai pemegang saham
dan pemilik 764.000 saham
dengan nilai nominal seluruhnya
sebesar Rp764.000.000.000 atau
sebesar 73.20%;
(ii) PT Vale Indonesia Tbk, sebagai
pemegang saham dan pemilik
191.000 saham dengan nilai
nominal seluruhnya sebesar
Rp191.000.000.000 atau sebesar
18,30%;
(iii) Ford Motor Company, sebagai
pemegang saham dan pemilik
88.716 saham dengan nilai
nominal seluruhnya sebesar
Rp88.716.000.000 atau sebesar
8.5%.
Based on the Deed of Shareholders Resolutions KNI
No. 227 dated 21 December 2023, made before
Notary Jimmy Tanal, S.H., LL.M, Notary in South
Jakarta, which has been reported to the Ministry of
Law and Human Rights based on the Receipt of
Notice for the Change of Data of the Company
Number AHU-AH.01.09-0199807 dated 22
December 2023 and Receipt of Notice for the

Amendment of the Articles of Association Number
AHU-AH.01.03-0161734 dated 22 December 2023,
we hereby inform the following :
1. The issued and paid-up capital of KNI
was increased in the amount of
Rp88,716,000,000 divided into 88.716
new shares, with nominal value of
Rp1,000,000 per share which will be
fully subscribed by Ford;
2. Due to the issuance and subscription of
the new shares, the capital and
shareholder structure of KNI shall be as
follows:
a. Capital Structure:
(i) The authorized capital of KNI is
in the amount of
Rp3,820,000,000,000 divided
into 3.820.000 shares with
nominal value of Rp1,000,000
per share; and
(ii) The issued and paid up capital
of KNI is Rp1,043,716,000,000
divided into 1.043.716 shares
with nominal value of
Rp1,000,000 per share;
b. Shareholders Structure:
(i) HUAQI (SINGAPORE) PTE.
LTD., as shareholder and
owner of 764.000 shares with
total nominal value of
Rp764,000,000,000 or 73.20%;
(ii) PT Vale Indonesia Tbk, as as
shareholder and owner of
191.000 shares with total
nominal value of
Rp191,000,000,000 or 18,30%
(iii) Ford Motor Company, as
shareholder and owner of
88.716 shares with total
nominal value of
Rp88,716,000,000 or 8.5%.
