Jenis Informasi atau Fakta Material Perseroan melakukan investasi di PT Digitalisasi Perangkat
Indonesia
Uraian Informasi atau Fakta Material Transaksi ini merupakan transaksi penyetoran modal yang
dilakukan oleh Perseroan pada PT Digitalisasi Perangkat
Indonesia (DPI) sebanyak 171.428.600 (seratus tujuh puluh
satu juta empat ratus dua puluh delapan ribu enam ratus)
lembar saham yang mewakili sekitar 30% (tiga puluh persen)
dari seluruh modal yang ditempatkan dan disetor penuh dalam
DPI. Atas pengambilan bagian saham tersebut, Perseroan
telah menyetorkan sebesar Rp 40.114.292.400 (empat puluh
miliar seratus empat belas juta dua ratus sembilan puluh dua
ribu empat ratus Rupiah) yang dilaksanakan pada harga Rp
234 (dua ratus tiga puluh empat Rupiah) per saham.
Dampak kejadian, informasi atau fakta Dengan penyetoran modal ini, Perseroan dapat
material tersebut terhadap kegiatan menyempurnakan ekosistem digital pada VENTENY Employee
operasional, hukum, kondisi keuangan, Super App sehingga dapat mendukung operasional Perseroan
atau kelangsungan usaha Emiten atau dan juga memberikan pelayanan yang lebih baik kepada
Perusahaan Publik pelanggan.
Informasi Lain
Transaksi ini bukan merupakan transaksi afiliasi dan transaksi benturan kepentingan sebagaimana diatur dalam POJK
Nomor 42/POJK.04/2020 tentang Transaksi Afiliasi dan Benturan Kepentingan. Selanjutnya, transaksi ini bukan
merupakan transaksi material sebagaimana diatur dalam POJK Nomor 17/POJK.04/2020 tentang Transaksi Material
dan Perubahan Kegiatan Usaha Utama.

Description of Material Information or This transaction is a capital subscription transaction carried out
Facts by the Company to PT Digitaliasai Perangkat Indonesia (DPI)
amounting to 171,428,600 (one hundred seventy one million
four hundred twenty eight thousand six hundred) shares
representing 30% (thirty percent) of the total issued and paid-
up capital of DPI. For the subscription of shares, the Company
has subscribed IDR 40,114,292,400 (forty billion one hundred
fourteen million two hundred ninety-two thousand four hundred
Rupiah) which was carried out at a price of IDR 234 (two
hundred thirty-four Rupiah) per share.
Impact of event, material information or With this capital subscription, the Company can create a more
facts towards Issuers or Public complete digital ecosystem on VENTENY Employee Super
Company’s operational activities, legal, App so it can support the Company operation as well as
financial condition, or going concern serves the customer better.
Other Information
The transaction is not an affiliate party transaction and conflict of interest transaction as regulated in POJK Number
42/POJK.04/2020 concerning Affiliate Transactions and Conflicts of Interest. Furthermore, this transaction is not a
material transaction as regulated in POJK Number 17/POJK.04/2020 concerning Material Transactions and
Changes in Main Business Activities.
