3. Uraian Informasi atau Fakta Sehubungan dengan adanya Penunjukan Pemenang dari PT PLN

2023 Perseroan dan PT Arkora Hydro Malili (AHM), anak
perusahaan Perseroan secara tidak langsung telah
menandatangani Perjanjian Pinjaman (Perjanjian) (selanjutnya

Berdasarkan Perjanjian tersebut Perseroan memberikan pinjaman
kepada AHM sebesar maksimum Rp75.000.000.000 (tujuh puluh
lima miliar Rupiah) (Pinjaman) yang akan digunakan oleh AHM
untuk tujuan persyaratan LOI.
Berikut ini adalah informasi mengenai Pinjaman:
a. Bunga : 6,5% Pertahun
b. Jangka Waktu Pembayaran: 8 tahun sejak tanggal operasi
komersial Pembangkit Tenaga Minihidro
Transaksi ini merupakan transaksi afiliasi yang dikecualikan
sebagaimana diatur pada Pasal 6 ayat (1) huruf b POJK 42/2020,
karena AHM merupakan Perusahaan terkendali Perseroan dengan
kepemilikan saham tidak langsung lebih dari 99% (sembilan puluh
sembilan persen)
In connection with the Appointment of Winner from PT PLN Persero
for South Sulawesi MHP (LOI). On December 19, 2023, the
Company and PT Arkora Hydro Malili (AHM), a direct subsidiary of
the Company has signed the Loan agreement (the Agreement)
(hereinafter referred to as the Transaction).
Pursuant to the Agreement, Company provided a loan to AHM in
the amount of IDR75,000,000,000 (seventy-five billion Rupiah)
(Loan) which will be used by AHM for the purpose of LOI
requirements.
Loan Information is as follows:
a. Interest: 6,5% Per annum
b. Payment Term: 8 years from the date of commercial
operation of the Mini hydro Power Plant
This transaction is exempted from affiliated transaction as
stipulated in Article 6 paragraph (1) letter b POJK 42/2020, an
indirect shareholding of more than 99% (ninety-nine percent).
