Description of information or Material Facts Anak baru bernama PT Black Diamond Shipping (“BDS”) yang dituangkan
dalam Akta Pendirian No. 10 tertanggal 29 Maret 2026 dibuat di hadapan
Ina Kartika Sari, SH., M.KN dan telah disahkan oleh Menteri Hukum Republik
Indonesia berdasarkan Surat Keputusan No. AHU-
0025241.AH.01.01.TAHUN 2026 tanggal 29 Maret 2026.
PT Black Diamond Resources Tbk (the “Company”) has established a new
subsidiary named PT Black Diamond Shipping (“BDS”), that is documented
in the Deed of Establishment No.10 dated March 29, 2026 made before Ina
Kartika Sari, SH., M.KN and has received the legal approval from the Minister
of Law of The Republic Indonesia based on Decree No. AHU-
0025241.AH.01.01.TAHUN 2026 dated March 29, 2026
Modal dasar BDP adalah sebesar Rp5.000.000.000,- (lima miliar Rupiah)
dan Modal ditempatkan dan disetor sebesar Rp2.000.000.000,- (dua miliar
Rupiah). Kepemilikan Perseroan dalam BDS adalah sebesar 99,95% atau
senilai Rp1.999.000.000,- (satu miliar sembilan ratus sembilan puluh
sembilan juta Rupiah) dari modal ditempatkan dan disetor dalam BDS.
The authorized capital in BDP is Rp5.000.000.000,- (five billion Rupiah) and
its paid-up capital is Rp2.000.000.000,- (two billion Rupiah). The Company
holds 99.95% of the shares in BDS, which is equivalent to Rp1,999,000,000
(one billion nine hundred ninety-nine million Rupiah) of the issued and paid-
up capital in BDS.
Tujuan didirikannya BDS adalah untuk memperluas bisnis Grup Perseroan
di bidang (a) angkutan laut dalam negeri untuk barang umum (50131), (b)
Angkutan laut dalam negeri untuk barang khusus (50133), (c) Angkutan laut
luar negeri untuk barang umum (50141), (d) Aktivitas pengelolaan kapal
(52225), (e) Jasa Keagenan Kapal/ Agen perkapalan perusahaan pelayaran
(52297), dan (f) Aktivitas Penyewaan dan sewa guna usaha tanpa hak opsi
alat transportasi air (77312).
The purpose of establishing BDS is to expand the Company Group's
business in the fields of (a) domestic sea transportation for general goods
(50131), (b) domestic sea transportation for special goods (50133), (c)
international sea transportation for general goods (50141), (d) ship
management activities (52225), (e) ship agency services/shipping company
shipping agents (52297), and (f) rental and leasing activities without option
rights for air transportation equipment (77312).
Transaksi ini bukan merupakan Transaksi Afiliasi sebagaimana dimaksud
dalam Peraturan Otoritas Jasa Keuangan No. 42/POJK.04/2020 dan bukan
merupakan Transaksi Material sebagaimana dimaksud dalam Peraturan
Otoritas Jasa Keuangan No. 17/POJK.04/2020.
This transaction does not constitute an Affiliated Transaction as referred to in
Financial Services Authority Regulation No. 42/POJK.04/2020 and does not
constitute a Material Transaction as referred to in Financial Services Authority
Regulation No. 17/POJK.04/2020.
