Uraian Informasi atau Fakta Material Sebagaimana sesuai rencana pengembangan usaha yang
merupakan salah satu tujuan Penawaran Umum Perdana
Saham dan juga telah disampaikan pada Prospektus
Perseroan. dimana Perseroan akan melakukan setoran modal
pada Perusahaan Anak PT Marina Bahari Sentosa ("MBS")
dengan sekitar 88.89% dari hasil Penawaran Umum Perdana
dikurangi biaya - biaya emisi untuk mengembangkan lokasi
baru.
Pada tanggal 14 Desember 2023, setoran modal tersebut
telah dilaksanakan berdasarkan Akta Pernyataan Keputusan
Para Pemegang Saham PT Marina Bahari Sentosa nomor 29
tanggal 12 Desember 2023, dan telah mendapatkan
Persetujuan Perubahan Anggaran Dasar Perseroan Terbatas
dari Keputusan Menteri Hukum dan Hak Asasi Manusia
Republik Indonesia Nomor AHU-0078396.AH.01.02.TAHUN
2023 tertanggal 14 Desember 2023.
Dengan dilakukannya setoran modal tersebut, Perseroan
kemudian memiliki 40,049,999 (terbilang Empat Puluh Juta
Empat Puluh Sembilan Ribu Sembilan Ratus Sembilan Puluh
Sembilan) lembar saham MBS atau setara dengan 99.99%
dari seluruh saham MBS.
Dampak kejadian, informasi atau fakta Sebagaimana diungkapkan pada Prospektus, Perseroan
material tersebut terhadap kegiatan memproyeksikan peningkatan kapasitas produksi dan laba
operasional, hukum, kondisi keuangan, pada saat penyelesaian pembangunan ekspansi melalui MBS
atau kelangsungan usaha Emiten atau yang ditargetkan mulai beroperasi selambat - lambatnya pada
Perusahaan Publik bulan Januari 2025 mendatang.

Capital Injection into Subsidiary MBS
Type of Material Information or Facts
Description of Material Information or Inline with the business development plan objectives of the
Facts Initial Public Offering that has also been explained in the
Company's Prospectus. where the Company will make a
capital injection to the Subsidiary Company PT Marina Bahari
Sentosa ("MBS") with approximately 88.89% of the proceeds
from the Initial Public Offering minus emission costs for
developing new locations.
On December 14 2023, the capital payment was carried out
based on the Deed of Decree of the Shareholders of PT
Marina Bahari Sentosa number 29 dated December 12 2023,
and approval for changes to the Limited Liability Company's
Articles of Association was obtained from the Decree of the
Minister of Law and Human Rights of the Republic of
Indonesia Number AHU -0078396.AH.01.02.TAHUN 2023
dated 14 December 2023.
By making this capital deposit, the Company then owns
40,049,999 (Forty Million Forty Nine Thousand Nine Hundred
Ninety Nine) MBS shares or the equivalent of 99.99% of all
MBS shares.
Impact of event, material information or As stated in the Prospectus, the Company projects an
facts towards Issuers or Public increase in production capacity and profits upon completion of
Company’s operational activities, legal, expansion construction through MBS which is targeted to start
financial condition, or going concern operating no later than January 2025.
