disebut  “RUPS”) dengan mengindahkan

ketentuan Anggaran Dasar dan peraturan
perundang-undangan di bidang Pasar Modal,

asal saja pengeluaran itu tidak dengan harga di

bawah pari.

4. Penyetoran atas saham dalam bentuk lain selain
uang baik berupa benda berwujud maupun tidak
berwujud wajib memenuhi ketentuan sebagai
berikut:

a. benda yang akan dijadikan setoran modal
dimaksud wajib diumumkan kepada publik
pada saat pemanggilan RUPS mengenai
penyetoran tersebut,

b. benda yang dijadikan sebagai setoran modal
wajib dinilai oleh Penilai yang terdaftar di
OJK dan tidak dijaminkan dengan cara
apapun juga,

Cc. memperoleh persetujuan RUPS dengan
kuorum sebagaimana diatur dalam pasal 24
Anggaran Dasar ini,

d. dalam hal benda yang dijadikan sebagai
setoran modal dilakukan dalam bentuk
saham perseroan yang tercatat di Bursa Efek,
maka harganya harus ditetapkan
berdasarkan nilai pasar wajar: dan

e. dalam hal penyetoran tersebut berasal dari
laba ditahan, agio saham, laba bersih
Perseroan dan/atau unsur modal sendiri,
maka laba ditahan, agio saham, laba bersih
Perseroan dan/atau unsur modal sendiri
lainnya tersebut sudah dimuat dalam
Laporan Keuangan Tahunan terakhir yang
telah diperiksa oleh Akuntan yang terdaftar
di OJK dengan pendapat wajar tanpa
pengecualian.

Amendment to Article 4 paragraph (1) and Paragraph
(2) of the Company's Articles of Association in relation
to the stock split. Therefore, altering the provisions of
Article 4 of the Company's Articles of Association,
which shall henceforth be written and read as follows:

1. The Company's Authorized Capital
amounts to Rp. 330,000,000,000.00 (three
hundred and thirty billion rupiah),
divided into 2,640,000,000 (two billion six
hundred forty million) shares, each share
having a nominal value of Rp. 125.00 (one
hundred twenty-five rupiah).

2. From the aforementioned Authorized
Capital, 662,400,000 (six hundred sixty-
two million four hundred thousand)
shares have been Issued and Paid Up,
with a total nominal value of Rp.
82,800,000,000.00  (eighty-two  billion
eight hundred million Rupiah) subscribed
by shareholders who took part in the
Shares.

3. The shares that remain in the company's
portfolio will be issued by the Board of
Directors as reguired by the company's
capital at the time and in the manner,
price, and terms determined by the
General — Meeting of Shareholders
(hereinafter referred to as "GMS"),
adhering to the provisions of the Articles
of Association and regulations in the
Capital Market sector, provided that the
issuance is not below par value.

4. Contributions in forms other than cash for
shares, whether tangible or intangible,
must meet the following reguirements:

a. The assets to be used as capital
contributions must be announced to
Ihe public at the time of calling the
GMS regarding such contributions,

b. Assets used as capital contributions
must be valued by an OJK-registered
Appraiser and not pledged in any
Way.

c.. Obtain the approval of the GMS with
Ihe guorum as regulated in Article 24
of these Articles of Association,
