Uraian Informasi atau Fakta Material Perseroan dengan ini menyampaikan bahwa Perseroan
bersama dengan anak perusahaan Perseroan yaitu PT
Tokopedia (Tokopedia) telah sepakat untuk bermitra dan
bekerjasama secara strategis dengan TikTok Pte. Ltd. (TikTok)
untuk mendorong pertumbuhan jangka panjang atas sektor
usaha kecil, mikro dan menengah (UMKM) Indonesia dan
ekonomi digital secara keseluruhan (Rencana Kemitraan
Strategis). Rencana Kemitraan Strategis akan dimulai dengan
periode awal yang dilakukan melalui konsultasi erat dengan
pengawasan oleh instansi pemerintahan yang relevan.
Kampanye pertama adalah inisiatif Beli Lokal yang akan
diluncurkan pada tanggal 12 Desember 2023, bersamaan
dengan Hari Belanja Online Nasional (Harbolnas) - suatu
program pemerintah yang dirancang untuk menumbuhkan
ekonomi digital Indonesia dengan mendukung UMKM lokal.
Selanjutnya, sehubungan dengan Rencana Kemitraan
Strategis tersebut, Perseroan dan Tokopedia, telah
menandatangani beberapa perjanjian secara terpisah dengan
TikTok sebagaimana dijelaskan lebih lanjut pada surat
terlampir.

Dampak kejadian, informasi atau fakta Kegiatan operasional: tidak ada dampak negatif terhadap
material tersebut terhadap kegiatan kegiatan operasional Perseroan
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau Aspek hukum: tidak ada dampak negatif terhadap aspek
Perusahaan Publik hukum Perseroan. Namun demikian sebagaimana telah
dijabarkan diatas, jika Rencana Investasi dapat diselesaikan,
kepemilikan Perseroan pada Tokopedia akan terdilusi menjadi
24,99%. Namun kepemilikan saham Perseroan di Tokopedia
tersebut tidak akan terdilusi lebih lanjut dikarenakan
pendanaan di masa depan dari TikTok.
Kondisi keuangan: Dengan berkurangnya kepemilikan
Perseroan pada Tokopedia menjadi 24,99%, terdapat
perubahan pada neraca Perseroan.
Para pihak telah sepakat bahwa kepemilikan Perseroan
sebesar 24,99% di Tokopedia tidak akan terdilusi lebih lanjut
oleh pendanaan dari TikTok di masa depan kepada
Tokopedia. Dengan demikian, Perseroan akan
mempertahankan kepemilikan 24,99% dalam bisnis e-
commerce yang lebih besar dan terus mendapatkan
keuntungan dari pertumbuhan pesat industri e-commerce
Indonesia.
Dengan investasi dan komitmen pendanaan dari TikTok,
Perseroan tidak perlu melakukan pendanaan untuk
Tokopedia. Lebih lanjut, Perseroan juga akan menerima arus
pendapatan yang berkelanjutan dari Tokopedia sepadan
dengan skala dan pertumbuhan Tokopedia, dimana akan
berkontribusi secara langsung pada EBITDA Perseroan. Hal
ini juga membuat Perseroan dapat mengambil keuntungan
secara langsung atas pertumbuhan yang pesat dari industri e-
commerce Indonesia dan Perseroan dapat memfokuskan
sumber daya dan modal kepada lini bisnis layanan on-
demand, dimana berada di jalur yang tepat untuk mencapai
EBITDA yang disesuaikan positif dalam kuartal empat 2023
dan financial technology Perseroan, yang terus memiliki daya
tarik yang kuat melalui aplikasi GoPay dan consumer lending
bersama melalui kolaborasi dengan Bank Jago.
Kelangsungan usaha Perseroan: tidak ada dampak negatif
terhadap kelangsungan usaha Perseroan

Description of Material Information or The Company hereby announces that the Company together
Facts with its subsidiary, PT Tokopedia (Tokopedia), have agreed to
strategically partner and cooperate with TikTok Pte. Ltd.
(TikTok) to drive long term growth for micro, small and
medium enterprise (MSME) sector of Indonesia and the digital
economy of the country as a whole (Proposed Strategic
Partnership). The Proposed Strategic Partnership will
commence with a pilot period carried out in close consultation
with the supervision by the relevant regulators. The first
campaign will be the Beli Lokal initiative which will launch on
December 12, 2023, coinciding with National Online Shopping
Day of Indonesia (Harbolnas) - a government program
designed to grow digital economy of Indonesia by supporting
local MSMEs.
Furthermore, in relation to the Proposed Strategic Partnership,
the Company and Tokopedia, have signed several separate
agreements with TikTok as further explained in the attached
letter.

Impact of event, material information or Operational activities: No negative impact on the operational
facts towards Issuers or Public activities of the Company.
Company’s operational activities, legal,
financial condition, or going concern Legal aspect: There is no negative impact on the legal aspect
of the Company. However, as described above, if the
Proposed Investment can be completed, the ownership of the
Company in Tokopedia will be diluted to 24.99%. However, the
shareholding of the Company in Tokopedia will not be further
diluted by future funding by TikTok.
Financial condition: With the reduction of the Company's
ownership in Tokopedia to 24.99%, there is a change in the
balance sheet of the Company.
The parties agreed that the 24.99% ownership of the
Company in Tokopedia will not be further diluted by any future
funding from TikTok to Tokopedia. As such, the Company will
maintain its 24.99% ownership in a bigger e-commerce
business and continue to benefit from the rapid growth of the
Indonesian e-commerce industry.
With the investment and funding commitment from TikTok, the
Company will no longer be required to fund Tokopedia.
Furthermore, the Company will also receive an ongoing
revenue stream from Tokopedia commensurate with its scale
and growth, which will directly contribute to the EBITDA of the
Company. This also means the Company will continue to
directly benefit from the rapid growth of the Indonesian e-
commerce industry while enabling the Company to direct its
resources and capital toward its market-leading on-demand
services business, which is on track to become adjusted
EBITDA positive within 4Q23, and the Financial Technology
business of the Company, which continues to see strong
traction in the GoPay app and in consumer lending together in
collaboration with Bank Jago.
The business continuity of the Company: There is no negative
impact on the business continuity of the Company.
