Uraian Informasi atau Fakta Material Sehubungan dengan Laporan Keuangan Audit Tahun 2025
PT. Kapuas Prima Coal Tbk (Perseroan) memperoleh opini
Tidak Menyatakan Pendapat (Disclaimer) dari Auditor, kami
Perseroan dengan ini menjelaskan bahwa sejak 01 Januari
2025 semua hasil produksi yang telah dihasilkan oleh
perseroan sudah tidak dapat dijual ke luar negeri (ekspor)
dikarenakan Surat Persetujuan Eskpor (SPE) yang diberikan
hanya hingga tanggal 31 Desember 2024, dan hingga saat ini
pihak perseroan masih belum mendapatkan perpanjangannya.
Hal ini berdampak pada penerimaan atau penjualan perseroan
hingga saat ini masih belum ada. Saat ini pihak perseroan
bergantung pada kegiatan produksi smelter entitas anak
Perusahaan yang dimana akan berproduksi secara komersial.
Rencana untuk berproduksi secara komersial estimasi saat ini
dapat di laksanakan pada akhir bulan Juni 2026. Dengan
berproduksi secara komersial smelter entitas anak nantinya
maka secara pendapatan dari pihak perseroan maupun entitas
anak Perseroan akan mulai ada dan secara otomatis dapat
menanggung atau digunakan untuk pembiayaan kegiatan
operasional dan lain-lain perseroan dan entitas anak
Perseroan.
Selain itu pihak perseroan juga saat ini sedang berusaha
mencari calon investor yang dapat mempercepat
Pembangunan Smelter Seng (Zn) dan membantu pembiayaan
di sisi tambangnya juga dengan harapan setelah investor
masuk dapat mempercepat rencana produksi perseroan
maupun anak perusahaannya.

Tidak terdapat dampak terhadap aspek hukum.
Dampak terhadap aspek keuangan Perseroan:
Tidak adanya pemasukan hingga entitas anak Perseroan
berproduksi secara komersial sehingga efisiensi terus
dilakukan oleh Perseroan.
Dampak terhadap kelangsungan usaha Perseroan:
Perseroan tetap optimis terhadap sumber daya Cadangan
mineral yang dimiliki dan prospek usaha terhadap lini smelter
yang dimiliki. Kelangsungan usaha Perseroan saat ini
bergantung pada keberhasilan masuknya investor untuk
melancarkan dan mempercepat seluruh proses penyelesaian
prospek usaha dan kredit. Perseroan masih berusaha
mempertahankan statusnya di pasar Bursa dengan terus
mematuhi kewajiban yang harus di penuhi di pasar bursa dan
Perseroan berharap pihak Bursa Efek Indonesia dan Otoritas
Jasa Keuangan dapat memahami dan memberikan
dukungannya.

Explanation regarding the reasons for the emergence of the
Type of Material Information or Facts opinion of Not Expressing an Opinion (Disclaimer).
Description of Material Information or In connection with the 2025 Audited Financial Report of PT.
Facts Kapuas Prima Coal Tbk (the Company) which received a
Disclaimer from the Auditor, we, the Company, hereby explain
that since January 1, 2025, all production produced by the
company can no longer be sold abroad (exported) because the
Export Approval Letter (SPE) was only granted until December
31, 2024, and to date the company has not received an
extension. This has an impact on the company's revenue or
sales, which are still non-existent. Currently, the company
relies on the production activities of the Company's subsidiary
smelter which will be in commercial production. The plan for
commercial production is currently estimated to be
implemented at the end of June 2026. With the commercial
production of the subsidiary smelter, the income from the
company and its subsidiaries will begin to exist and can
automatically cover or be used to finance the operational and
other activities of the company and its subsidiaries. In addition,
the company is currently seeking potential investors who can
accelerate the construction of the Zinc (Zn) Smelter and assist
with financing on the mining side as well, with the hope that
once investors come in, they can accelerate the production
plans of the company and its subsidiaries.

Company’s operational activities, legal, while awaiting confirmation of the SPE extension and the
financial condition, or going concern commercial production of the Company's subsidiary's smelter.

There is no legal impact.
Impact on the Company's financial aspects:
There will be no revenue until the Company's subsidiary starts
commercial production, so the Company will continue to
implement efficiency measures.
Impact on the Company's business continuity:
The Company remains optimistic about its mineral reserves
and the business prospects of its smelter line. The Company's
business continuity currently depends on the successful entry
of investors to facilitate and expedite the entire process of
completing business prospects and credit. The Company is still
striving to maintain its status on the stock exchange by
continuing to comply with its obligations. The Company hopes
that the Indonesia Stock Exchange and the Financial Services
Authority will understand and provide support.
