IFISHDECO Tbk Uraian Informasi atau Fakta Material Information or Material Pada tanggal 5 Desember 2023, Perseroan telah melakukan penambahan penyertaan modal kepada perusahaan anak Perseroan, yaitu PT Berkat Nikel Indonesia (“BNI”) sebesar Rp 9.750.000.000 atas 9.750 lembar saham. Penambahan penyertaan modal tersebut dilakukan Perseroan untuk mempertahankan persentase kepemilikan saham Perseroan di BNI. Sehingga, terjadi peningkatan modal dasar pada BNI. Informasi Lain-lain Other Information Penambahan peningkatan modal diatas dari Perseroan kepada BNI merupakan transaksi afiliasi yang dikecualikan dari ketentuan POJK No. 42/2020 karena sebelumnya Perseroan memiliki kepemilikan saham pada BNI sebesar 99,9296. Transaksi ini tidak mengandung benturan kepentingan sebagaimana dimaksud POJK No. 42/2020 dan juga bukan merupakan transaksi material sebagaimana dimaksud — dalam Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha. The additional eguity contribution BNI an exclude affiliate transaction as stipulated in POJK No. 42/2020 since the Company has 99.926 shares ownership within BNI. The transaction is also nota conflict of interest as stipulated in POJK No. 42/2020 and also not material as contemplated under the OJK Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities.
