Bahwa pada tanggal 01 Desember 2023, Perseroan
meningkatkan jumlah kepemilikan saham PT Buyung
Poetra Sembada Tbk (HOKI) (Perseroan) pada PT Hoki
Investasi Sejati (HIS) sebanyak 160.390 (seratus enam
puluh ribu tiga ratus sembilan puluh) lembar saham
a Rp1.000.000 atau sebesar Rp160.390.000.000,- (seratus
enam puluh miliar tiga ratus sembilan puluh juta Rupiah)
secara tunai.
Mengacu pada:
a. POJK No. 31/POJK.04/2015 tentang Keterbukaan
atas Informasi atau Fakta Material oleh Emiten
atau Perusahaan Publik, tertanggal 10 Desember
2015 (POJK 31/2015).
b. POJK No. 17/POJK.04/2020 tentang Transaksi
Material Dan Perubahan Kegiatan Usaha,
tertanggal 20 April 2020 (POJK 17/2020).
c. POJK No. 42/POJK.04/2020 tentang Transaksi
Afiliasi dan Transaksi Benturan Kepentingan,
tertanggal 2 Juli 2020 (POJK 42/2020).
Bahwa telah dilakukan peningkatan kepemilikan saham
Perseroan dalam PT HIS melalui setoran tunai sebagaimana
ternyata dalam Akta Pernyataan Keputusan Para Pemegang
Saham Perseroan No. 22 tertanggal 24 November 2023
yang dibuat dihadapan Rini Yulianti, S.H.,M.Kn., Notaris di
Jakarta Timur, yang kemudian disetujui pemberlakuannya
oleh Kemenkumham melalui Keputusan Menteri Hukum
dan Hak Asasi Manusia Republik Indonesia Nomor AHU-
0074895.AH.01.02.Tahun 2023 tertanggal 01 Desember
2023.
ANALISIS
Ekuitas LKT 31 Des 2022: Rp668.859.547.083,-
Nilai Transaksi : Rp160.390.000.000,-
20% dari Ekuitas : Rp133.771.909.416,6
a. TRANSAKSI MATERIAL
- Berdasarkan data sebagaimana diuraikan di atas, maka
Transaksi tersebut merupakan Transaksi Material karena
nilai transaksi tersebut lebih dari 20% dari ekuitas Perseroan
berdasarkan LKT Perseroan Tahun 2022, sebagaimana
diatur dalam Pasal 3 ayat (1) POJK 17/2020.
- Namun, meskipun nilai transaksi memenuhi batasan
Transaksi Material, memperhatikan Pasal 11 huruf (a) POJK
17/2020, disebutkan bahwa Perusahaan Terbuka tidak
wajib menggunakan Penilai sebagaimana dimaksud dalam
Pasal 6 ayat (1) huruf a dan memperoleh persetujuan
RUPS sebagaimana dimaksud dalam Pasal 6 ayat (1) huruf
d, karena Transaksi tersebut dilakukan dengan Perusahaan
Terkendali yang sahamnya dimiliki paling sedikit 99% dari
modal disetor Perusahaan Terkendali (HIS) oleh
Perseroan/HOKI.
b. TRANSAKSI AFILIASI
- Terkait POJK 42/2020 tentang Transaksi Afiliasi dan
Benturan Kepentingan, memperhatikan Pasal 6 ayat 1
huruf (b) angka 1 POJK 42/2020, Perusahaan Terbuka tidak
wajib melakukan prosedur sebagaimana dimaksud dalam
Pasal 3 serta tidak wajib memenuhi ketentuan
sebagaimana dimaksud dalam Pasal 4 ayat (1) jika
melakukan Transaksi Afiliasi sebagai berikut:
- transaksi antara Perusahaan Terbuka dengan Perusahaan
Terkendali yang sahamnya dimiliki paling sedikit 99%
(sembilan puluh sembilan persen) dari modal disetor

Perusahaan Terkendali.
- Lebih lanjut, Pasal 6 ayat (2) menyebutkan : Perusahaan
Terbuka wajib melaporkan Transaksi Afiliasi sebagaimana
dimaksud pada ayat (1) kepada Otoritas Jasa Keuangan
paling lambat pada akhir hari kerja ke-2 (kedua) setelah
tanggal Transaksi Afiliasi.
Nilai Transaksi
Nilai transaksi sebesar 160.390 (seratus enam puluh ribu
tiga ratus sembilan puluh) lembar saham a Rp1.000.000
atau sebesar Rp160.390.000.000,- (seratus enam puluh
miliar tiga ratus sembilan puluh juta Rupiah).
Transaksi tersebut mengakibatkan perubahan susunan
Pemegang Saham dan komposisi kepemilikan saham dalam
PT HIS menjadi sebagai berikut:
1. PT Buyung Poetra Sembada Tbk sebanyak 239.360
(dua ratus tiga puluh sembilan ribu tiga ratus
enam puluh) saham dengan nilai nominal
seluruhnya sebesar Rp239.360.000.000,00 (dua
ratus tiga puluh sembilan miliar tiga ratus enam
puluh juta Rupiah), persentase kepemilikan
sebesar 99,9896%;
2. Sukarto Bujung sebanyak 25 (dua puluh lima)
saham dengan nilai nominal seluruhnya sebesar
Rp25.000.000,00 (dua puluh lima juta Rupiah),
persentase kepemilikan sebesar 0,0104%.
Dampak kejadian, informasi atau fakta Bahwa selain informasi yang telah kami ungkapkan di atas,
material tersebut terhadap kegiatan saat ini tidak terdapat kejadian, Informasi, atau Fakta
operasional, hukum, kondisi keuangan, Material lain yang tidak kami ungkapkan selain informasi
atau kelangsungan usaha Emiten atau tersebut di atas.

Facts Whereas on December 01, 2023, the Company increased
the share ownership of PT Buyung Poetra Sembada Tbk
(HOKI) (the Company) in PT Hoki Investasi Sejati (HIS)
by 160,390 (one hundred and sixty thousand three hundred
and ninety) shares a IDR 1,000,000 or IDR
160,390,000,000 (one hundred and sixty billion three
hundred and ninety million Rupiah) in cash.
Refers to:
a. POJK No. 31/POJK.04/2015 concerning Disclosure of
Material Information or Facts by Issuers or Public
Companies, dated 10 December 2015 (POJK 31/2015).
b. POJK No. 17/POJK.04/2020 concerning Material
Transactions and Changes in Business Activities, dated
20 April 2020 (POJK 17/2020).
c. POJK No. 42/POJK.04/2020 concerning Affiliate
Transactions and Conflict of Interest Transactions, dated
2 July 2020 (POJK 42/2020).
That there has been an increase in the Company's share
ownership in PT HIS through cash deposits as stated in the
Deed of Decree of the Shareholders of the Company No. 22
dated 24 November 2023 made before Rini Yulianti, S.H.,
M.Kn., Notary in East Jakarta, whose implementation was
then approved by the Ministry of Law and Human Rights
through the Decree of the Minister of Law and Human
Rights of the Republic of Indonesia Number AHU-
0074895.AH.01.02.Year 2023 dated 01 December 2023.
ANALYSIS

a. MATERIAL TRANSACTIONS
- Based on the data as described above, the Transaction
is a Material Transaction because the transaction value is
more than 20% of the Company's equity based on the
Company's 2022 LKT, as regulated in Article 3 paragraph (1)
POJK 17/2020.
- However, even though the transaction value meets the
Material Transaction limits, taking into account Article 11
letter (a) POJK 17/2020, it is stated that Public Companies
are not obliged to use an Appraiser as intended in Article 6
paragraph (1) letter a and obtain approval from the GMS as
intended in Article 6 paragraph (1) letter d, because the
Transaction is carried out with a Controlled Company
whose shares are owned by at least 99% of the Controlled
Company's paid-up capital (HIS) by the Company/HOKI.
b. AFFILIATE TRANSACTIONS
- Regarding POJK 42/2020 concerning Affiliate
Transactions and Conflicts of Interest, paying attention to
Article 6 paragraph 1 letter (b) number 1 POJK 42/2020,
Public Companies are not obliged to carry out the
procedures as intended in Article 3 and are not obliged to
fulfill the provisions as intended in Article 4 paragraph (1) if
carrying out Affiliate Transactions as follows:
- transactions between Public Companies and Companies
Controlled whose shares are owned by at least 99%
(ninety-nine percent) of the paid-up capital
Controlled Company.
- Furthermore, Article 6 paragraph (2) states: Company
Open is required to report Affiliate Transactions as
follows referred to in paragraph (1) to the Financial

Services Authority no later than the end of the 2nd
(second) working day after Affiliate Transaction date.
Transaction Value
The transaction value is 160,390 (one hundred and sixty
thousand three hundred and ninety) shares a IDR
1,000,000 or IDR 160,390,000,000 (one hundred and sixty
billion three hundred and ninety million Rupiah).
This transaction resulted in a change in the composition of
Shareholders and composition of share ownership in PT HIS
to become as follows:
1. PT Buyung Poetra Sembada Tbk as many as 239,360 (two
hundred thirty-nine thousand three hundred and sixty)
shares with a total nominal value of Rp.
239,360,000,000.00 (two hundred thirty-nine billion
three hundred and sixty million Rupiah), percentage
ownership of 99.9896%;
2. Sukarto Bujung with 25 (twenty five) shares with a total
nominal value of IDR 25,000,000.00 (twenty five million
Rupiah), ownership percentage of 0.0104%.
That apart from the information that we have disclosed
above, there are currently no other material events,
information or facts that we do not disclose other than the
information mentioned above.
