Pada tanggal 18 Oktober 2023, Perseroan telah melakukan keterbukaan informasi kepada Otoritas Jasa
Keuangan melalui Surat Nomor 115/CORP/9981/X/23 tertanggal 18 Oktober 2023 (“Keterbukaan
Informasi 18 Oktober 2023”), yang memberitahukan bahwa:
On 18 October 2023, the Company conducted disclosure information to Otoritas Jasa Keuangan through
Letter Number 115/CORP/9981/X/23 dated 18 October 2023 (“Disclosure Information 18 October 2023”)
which informs:
PT Danusa Tambang Nusantara (“DTN”), perusahaan terkendali milik Perseroan melakukan
penandatanganan Perjanjian Jual Beli Saham Bersyarat (Conditional Shares Sale and Purchase
Agreement/“CSPA”) dengan PT Kalira Pascama, (“KP”), PT Bintang Prima Investama (“BPI”), dan PT
Anugerah Dayakaya Angkasa (“ADA”), untuk rencana pembelian saham dari PT Anugerah Surya Pacific
Resources (“ASPR”) setara dengan:
a. 33,33% milik KP dari total seluruh saham yang ditempatkan dan disetor penuh dalam ASPR;
b. 16,67% milik BPI dari total seluruh saham yang ditempatkan dan disetor penuh dalam ASPR; dan
c. 16,67% milik ADA dari total seluruh saham yang ditempatkan dan disetor penuh dalam ASPR.
Nilai keseluruhan transaksi adalah sebesar US$104.913.375 atau setara dengan Rp1.648.189.121.425.
PT Danusa Tambang Nusantara (“DTN”), a controlled entity of the Company signed Conditional Shares
Sale and Purchase Agreement/“CSPA” with PT Kalira Pascama, (“KP”), PT Bintang Prima Investama
(“BPI”), dan PT Anugerah Dayakaya Angkasa (“ADA”), for the share purchase plan of PT Anugerah Surya
Pacific Resources (“ASPR”) equivalent to:

a. 33.33% owned by KP of the total issued and paid-up shares in ASPR;
b. 16.67% owned by BPI of the total issued and paid-up shares in ASPR; and
c. 16.67% owned by ADA of the total issued and paid-up shares in ASPR.
The total value of the transaction is US$104,913,375 or equal to Rp1,648,189,121,425.
Perseroan dengan ini memberitahukan bahwa pada tanggal 1 Desember 2023, penutupan transaksi telah
terjadi karena seluruh persyaratan pendahuluan (conditions precedent) dalam CSPA telah terpenuhi oleh
masing-masing pihak. (i) 33,33% (tiga puluh tiga koma tiga tiga persen) saham-saham milik KP di dalam
ASPR; (ii) 16,67% (enam belas koma enam tujuh persen) saham-saham milik BPI di dalam ASPR; dan (iii)
16,67% (enam belas koma enam tujuh persen) saham-saham milik ADA di dalam ASPR (“Saham Yang
Dijual”) telah ditransfer ke DTN. DTN telah menyelesaikan pembayaran kepada KP, BPI dan ADA untuk
pembelian Saham Yang Dijual dengan nilai keseluruhan sebesar Rp1.621.076.541.587 (satu triliun enam
ratus dua puluh satu miliar tujuh puluh enam juta lima ratus empat puluh satu ribu lima ratus delapan puluh
tujuh Rupiah), yang setara dengan 66.67% (enam puluh enam koma enam tujuh persen) dari seluruh modal
saham yang ditempatkan dan disetor penuh dalam ASPR.
The Company hereby informs that as of 1 December 2023, the closing of the transaction has occurred as
all conditions precedent in the CSPA have been fulfilled by each party. (i) 33.33% (thirty-three point three
three percent) shares owned by KP in ASPR; (ii) 16.67% (sixteen point six seven percent) shares owned
by BPI in ASPR; and (iii) 16.67% (sixteen point six seven percent) shares owned by BPI in ASPR (the “Sale
Shares”) are transferred to DTN. DTN has made payment to KP, BPI and ADA for the purchase of Sale
Shares with the total amount of Rp1,621,076,541,587 (one trillion six hundred twenty-one billion seventy-
six million five hundred forty-one thousand five hundred eighty-seven Rupiah), equivalent to 66.67% (sixty-
six point six seven percent) of the total issued and paid-up share capital in ASPR.
Dengan demikian, terhitung sejak tanggal 1 Desember 2023 Perseroan telah efektif memiliki Saham Yang
Dijual dalam ASPR.
Thus, as of 1 December 2023 the Company has effectively owned the Sale Shares in ASPR.
Selain dari apa yang disebutkan di atas, informasi yang telah disampaikan dalam Keterbukaan Informasi
18 Oktober 2023 masih tetap sama dan tidak berubah.
Other than the above, the information which had been disclosed under the Disclosure Information 18
October 2023 remains valid.
