Pada tanggal 6 Desember 2022, Perseroan telah melakukan keterbukaan informasi kepada Otoritas Jasa
Keuangan melalui Surat Nomor 215/CORP/9981/XII/22 tertanggal 6 Desember 2022 (“Keterbukaan
Informasi 6 Desember 2022”), yang memberitahukan penandatanganan Perjanjian Jual Beli Saham
Bersyarat (“CSPA”) oleh perusahaan terkendali Perseroan, PT Danusa Tambang Nusantara (“DTN”) untuk
rencana pengambilalihan saham dalam (i) PT Stargate Pasific Resouces (“SPR”) yang dimiliki oleh PT
Anugerah Surya Pasific Resources (“ASPR”) yang setara dengan 89.99871% dan PT Anugerah Surya
Investama (“ASI”) yang setara dengan 0,00009% dari, seluruh modal saham yang ditempatkan dan disetor
penuh dalam SPR; dan (ii) PT Stargate Mineral Asia (“SMA”) yang dimiliki oleh ASPR yang setara dengan
89% dan SPR yang setara dengan 1% dari, seluruh modal saham yang ditempatkan dan disetor penuh
dalam SMA.
On 6 December 2022, the Company has conducted disclosure information to Otoritas Jasa Keuangan
through a Letter Number dated 215/CORP/9981/XII/22 (“Disclosure Information 6 December 2022”)
which informs signing a Conditional Share Purchase Agreement (“CSPA”) by a controlled company of the
Company, PT Danusa Tambang Nusantara (“DTN”) for the acquisition of the shares in (i) PT Stargate
Pasific Resouces (“SPR”) that are owned by PT Anugerah Surya Pasific Resources (“ASPR”) which is
equivalent to 89.99871% and PT Anugerah Surya Investama (“ASI”) which is equivalent to 0.00009% of,
the total issued and paid-up share capital in SPR; and (ii) PT Stargate Mineral Asia (“SMA”) that are owned
by ASPR which is equivalent to 89% and SPR which is equivalent to 1% of, the total issued and paid-up
share capital in SMA.

Perseroan dengan ini memberitahukan bahwa pada tanggal 30 November 2023, penyelesaian transaksi
pengambilalihan saham telah dilakukan dan DTN telah menyelesaikan pembayaran kepada (i) ASPR atas
69,9991% saham yang dimiliki ASPR dan ASI atas 0,0009% saham yang dimiliki oleh ASI untuk
pengambilalihan saham-saham dalam SPR sebesar Rp3.185.394.391.241 (tiga triliun seratus delapan
puluh lima miliar tiga ratus sembilan puluh empat juta tiga ratus sembilan puluh satu ribu dua ratus empat
puluh satu Rupiah) yang setara dengan 70% (tujuh puluh persen) dari seluruh modal saham yang
ditempatkan dan disetor penuh dalam SPR; dan (ii) ASPR atas 69% saham yang dimiliki oleh ASPR dan
SPR atas 1% saham yang dimiliki oleh SPR untuk pengambilalihan saham-saham dalam SMA sebesar
Rp41.954.693.042 (empat puluh satu miliar sembilan ratus lima puluh empat juta enam ratus sembilan
puluh tiga ribu empat puluh dua Rupiah) yang setara dengan 70% (tujuh puluh persen) dari seluruh modal
saham yang ditempatkan dan disetor penuh dalam SMA.
The Company hereby informs that as of 30 November 2023, completion of the acquisition transaction has
occurred and DTN has made payment to (i) ASPR for 69.9991% shares owned by ASPR and ASI for
0.0009% shares owned by ASI for the acquisition of shares in SPR in the amount of IDR3,185,394,391,241
(three trillion one hundred eighty-five billion three hundred ninety-four million three hundred ninety-one
thousand two hundred and forty-one Rupiah) equivalent to 70% (seventy percent) of the total issued and
paid-up share capital in SPR; and (ii) ASPR for 69% shares owned by ASPR and SPR for 1% shares owned
by SPR for the acquisition of shares in SMA in the amount of IDR41,954,693,042 (forty-one billion nine
hundred and fifty-four million six hundred and ninety-three thousand forty-two Rupiah) equivalent to 70%
(seventy percent) of the total issued and paid-up share capital in SMA.
Dengan demikian, terhitung sejak tanggal 30 November 2023 Perseroan telah efektif memiliki saham-
saham dalam SPR dan SMA.
Thus, as of 30 November 2023 the Company has effectively owned the shares in SPR and SMA.
Selain dari apa yang disebutkan di atas, informasi yang telah disampaikan dalam Keterbukaan Informasi 6
Desember 2022 masih tetap sama dan tidak berubah.
Other than the above, the information which had been disclosed under the Disclosure 6 December 2022
remains valid.
