Senopati No. 88, Senayan, Kebayoran Baru Jekarta Selatan, DKI Jakarta 12190 Tel: (62-21) 2935 6888 Fax: (62-21) 2935 6999 Web: www.bayan.com.sg Merujuk pada keterbukaan informasi transaksi afiliasi yang disampaikan oleh Perseroan berdasarkan Surat No. 607/BR-OJK/VI/2023 perihal Penyampaian Keterbukaan Informasi atas Transaksi Afiliasi Perseroan tanggal 27 Juni 2023./Referring to the affiliated transaction information disclosure submitted by the Company based on Letter No. 607/BR-OJK/VI/2023 on Submission of Information Disclosure on the Affiliated Transaction of the Company dated 27 June 2023. Bersama ini kami sampaikan bahwa Pengambilalihan PT KP telah selesai dilaksanakan, dan Perseroan dan PT BE telah efektif menjadi pemegang saham pada PT KP dengan kepemilikan saham masing-masing sebesar 7596 dan 2596 dari total modal yang ditempatkan dan disetor dalam PT KP pada tanggal 30 November 2023./We hereby convey that the Acguisition of PT KP has been completed, and the Company and PT BE have effectively become the shareholders of PT KP with the respective shares ownership of 754 and 254 of the total issued and paid-up capital in PT KP on 30 November 2023. Dengan Pengambilalihan PT KP, maka secara konsolidasi, Perseroan dapat menghemat biaya pembelian listrik sekitar Rp1.240 per kWh (yaitu Rp2.500 — Rp1.260) atau penghematan sekitar Rp3.100.000.000 per bulan untuk tahun 2023 (atau sekitar USD2.500.000 per tahun) dan Rp4.500.000.000 per bulan (atau sekitar USD3.600.000 per tahun) ketika perluasan Tahap 5 Balikpapan Coal Terminal yang dimiliki oleh anak perusahaan Perseroan selesai pada tahun 2024. Penghematan ini akan terus berlanjut sejalan dengan jangka waktu ijin pembangkit listrik yang dimilki PT KP/With the Acguisition of PT KP, on a consolidated basis, the Company will save on electricity purchase costs approximately Rp1,240 per kwh (i.e., Rp2,500 —- Rp1,260) or saving of approximately Rp3,100,000,000 per month for 2023 (or approximately USD2,500,000 annually) and Rp4,500,000,000 per month (or approximately USD3,600,000 annually) when the expansion of Phase 5 Balikpapan Coal Terminal which is owned by Company's subsidiary is completed in 2024.
