2. | Uraian Transaksi a. Obyek dan Nilai Transaksi

Pada tanggal O1 Desember 2023, Perseroan telah
menandatangani Perjanjian Fasilitas Kredit dengan PT
Bank KB Bukopin Tbk (“Bank Bukopin”) dengan nilai
sebesar Rp 160.000.000.000 (seratus enam puluh miliar
Rupiah) (“Perjanjian Kredit”).

Fasilitas Pinjaman berjangka waktu 1 tahun sampai bulan
Desember 2024. Dokumen jaminan untuk perolehan
fasilitas Perjanjian ini adalah Corporate Guarantee dari CJ
CGV Co., Ltd (“CJ CGV”) selaku pemegang saham
pengendali Perseroan secara tidak langsung. Tujuan dari
fasilitas pinjaman ini adalah untuk pengambilalihan
hutang (take over loan) dari The Export Import Bank of
Korea (KEXIM).

b. Pihak-Pihak yang Melakukan Transaksi dalam Perjanjian
Kredit

a. Object and Value of Transaction
On December 01, 2023 Company has executed Loan
Facility Agreement with PT Bank KB Bukopin Tbk (“Bank
Bukopin”) with total amount of Rp. 160,000,000,000 (one
hundred sixty billion Rupiah) (“Loan Agreement”).

The loan facility with a term of 1 years until December
2024. Guarantee document for obtaining facility of the
Agreement is a Corporate Guarantee provided by CJ CGV
Co., Ltd (“CJ CGV”) as the controlling shareholders of the
company indirectly. The sole purpose of the loan facility
for used among others, to take over existing loan (take
over loan) from The Export Import Bank of Korea (KEXIM).

b. Parties Involved on the Transaction to the Loan
Agreement
i.. The Company, and
ii. PT Bank KB Bukopin Tbk, a company established and
subject to laws of the Republic of Indonesia. There is
no affiliation relation with the Company.

4. | Keterangan lain-lain a. Transaksi antara Perseroan dan Bukopin termasuk dalam
transaksi material sebagaimana dimaksud dalam
Peraturan Otoritas Jasa Keuangan No. 17/POJK.04/2020
(“POJK 17/2020”), tentang Transaksi Material dan
Perubahan Kegiatan Usaha, dikarenakan nilai transaksi
tersebut lebih dari 2094 dari ekuitas Perseroan
berdasarkan Laporan Keuangan Audited Perseroan per 31
Desember 2022: dan

b. Transaksi antara Perseroan dan Bukopin juga bukan
termasuk dalam transaksi afiliasi dan transaksi benturan
kepentingan sebagaimana dimaksud dalam Peraturan
Otoritas Jasa Keuangan No. 42/POJK.04/2020 (“POJK
42/2020”), tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan.

a. The transaction between Company and Bukopin are

included in material transaction as contemplated under
Financial — Services Authority Regulation No.
17/POJK.04/2020, concerning Material Transactions and
Change of Business Activities because the transaction
value is more than 204 of the company's eguity based on
the Company's Audited Financial Statement as of 31
December 2022, and

b. The transaction between Company and Bukopin is also not

included as affiliated transaction and conflict of interest
transaction as contemplated under Financial Services
Authority Regulation No. 42/POJK.04/2020 concerning
Affiliated Transaction and Conflict of Interest.
